WHOOP TERMS OF SALE

PLEASE READ THE FOLLOWING TERMS OF SALE (“TERMS OF SALE”) CAREFULLY BEFORE PURCHASING PRODUCTS (AS DEFINED BELOW) OFFERED BY WHOOP, INC. (“US”, “WE”, “OUR”, OR “WHOOP”). THESE TERMS OF SALE SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR PURCHASE  OF THE WHOOP DEVICE, BANDS, CHARGERS AND POWERPACKS (COLLECTIVELY, THE ‘WHOOP DEVICE,” EVEN IF SUCH PURCHASE IS PART OF A WHOOP MEMBERSHIP PURCHASE), AND ANY PERIPHERALS, ACCESSORIES, APPAREL, OR OTHER PRODUCTS OFFERED BY WHOOP OR A WHOOP AUTHORIZED PARTNER (AS DEFINED BELOW), THAT ARE AVAILABLE FOR PURCHASE FROM OUR ONLINE STORE (THE “STORE”) OR THROUGH AN AUTHORIZED THIRD-PARTY RETAILER OR AUTHORIZED THIRD-PARTY MARKETPLACE (EACH, AN “AUTHORIZED RESELLER”) (COLLECTIVELY, THE “PRODUCTS” OR THE “WHOOP PRODUCTS”). PRODUCTS AND WHOOP PRODUCTS SHALL NOT INCLUDE THE PURCHASE OF WHOOP MEMBERSHIPS AND ADVANCED LABS SERVICES, WHICH SHALL BE GOVERNED UNDER OUR TERMS OF USE

THESE TERMS OF SALE COVER IMPORTANT INFORMATION ABOUT THE PRODUCTS YOU PURCHASE AND ANY CHARGES AND AMOUNTS THAT WE BILL YOU.

YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ACCEPT AND AGREE TO THESE TERMS OF SALE AND ARE OF SUFFICIENT LEGAL AGE IN YOUR JURISDICTION OR RESIDENCE TO ENTER INTO THESE TERMS OF SALE AND TO PURCHASE AND USE THE PRODUCTS. “YOU” AND “YOUR” REFER TO THE PERSON PURCHASING A PRODUCT OR IF YOU PURCHASE A PRODUCT ON BEHALF OF AN EMPLOYER, COMPANY, ORGANIZATION, OR OTHER ENTITY, THEN (I) ALL REFERENCES TO “YOU” HEREIN INCLUDE YOU AND THAT ENTITY, (II) YOU REPRESENT AND WARRANT THAT YOU ARE AN AUTHORIZED REPRESENTATIVE OF THE ENTITY WITH THE AUTHORITY TO BIND THE ENTITY TO THESE TERMS OF SALE, AND (III) YOU AGREE TO THESE TERMS OF SALE ON THE ENTITY’S BEHALF.

THIS IS A LEGAL AGREEMENT. BY PLACING AN ORDER FOR A PRODUCT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SALE. 

If you do not accept these Terms of Sale, then you are not authorized to purchase Products. In these Terms of Sale, any words following the term “including” or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.

We reserve the right to change these Terms of Sale at any time, so please review the Terms of Sale each time prior to making a purchase. Every time you order Products, the Terms of Sale in force at that time will apply between you and WHOOP. If you have any questions regarding these Terms of Sale, you can contact WHOOP at support@whoop.com.

Please read these terms carefully.

  1. INTRODUCTION

Although the Store is accessible worldwide, the Products offered on the Store are not designed and tested for use in all countries. If you choose to access the Store and/or use the Products, you choose to do so on your own initiative and you are solely responsible for complying with applicable local laws in your country. You understand and accept that the Store, the Products, and any related services are not designed for use in all countries and some or all of the features of the Store, Products, and any related services may not work or be appropriate for use in all countries. It is your responsibility to understand and comply with all applicable local, state, federal and foreign laws (including minimum age requirements) regarding the purchase, possession and use of any Product. 

2. WHOOP AUTHORIZED PARTNERS

WHOOP may collaborate with certain brands (collectively, the “WHOOP Authorized Partners”) to offer the capability to integrate certain WHOOP Products into certain other products offered by the WHOOP Authorized Partners.  We will identify the WHOOP Authorized Partners and any products associated therewith in the Store. 

3. ORDER PROCESS

Order Acceptance.  Each part of any order that you submit to WHOOP or an Authorized Reseller constitutes an offer to purchase. If you do not receive a message from WHOOP or an Authorized Reseller confirming receipt of your order, please contact our (or the Authorized Reseller’s, as applicable) customer service department at support@whoop.com before re-entering your order. WHOOP’s or an Authorized Reseller’s confirmation of receipt of your order does not constitute WHOOP's or Authorized Reseller’s acceptance of your order. WHOOP or Authorized Reseller (as applicable) is only deemed to have accepted your order once the Product(s) you ordered have been shipped.

Order Issues.  Although we strive to accept all valid orders, WHOOP and Authorized Reseller reserve the right to deny any order for any reason, including if: (i) we discover an error in pricing and/or other information about the Product or receive insufficient or erroneous billing, payment, and/or shipping information, (ii) we suspect an order has been placed using stolen payment card information or otherwise appears to be connected to fraud, or (iii) the ordered Product is unavailable due to discontinuance or otherwise. WHOOP and Authorized Reseller may also refuse any order that is connected with a previous payment dispute.

4. AVAILABILITY

All Products offered on the Store and via an Authorized Reseller are subject to availability. We reserve the right to impose quantity limits on any order, to reject all or part of an order, and to discontinue offering certain Products without prior notice. To the extent permitted under applicable laws, we make no representations, warranties, or conditions as to the completeness, accuracy, reliability, validity or timeliness of any listings, content, descriptions or images (including, without limitation, any features and specifications such as weights and sizes) for any Products available through the Store or via an Authorized Reseller. Such information, including pricing, and the availability of any Product are subject to change at any time without notice. We make reasonable efforts to accurately display the attributes of Products, including the applicable colors, however the actual colors you see on the Store will depend on your computer system, and we cannot guarantee that your computer will accurately display such colors. THE INCLUSION OF ANY PRODUCTS ON THE STORE OR BY AN AUTHORIZED RESELLER AT A PARTICULAR TIME DOES NOT IMPLY OR WARRANT THAT THESE PRODUCTS WILL BE AVAILABLE AT ANY TIME.  

5. PRICING

Prices are stated in the applicable currency based on your selected location. Your total price charged for Products will include the price of the Products in your order plus any applicable sales tax and shipping charges, less any discounts offered. We reserve the right to change prices at any time, but changes will not affect any order for Products you have already placed prior to the change in price. We do not provide price protection or refunds in the event of a price drop or promotional offering. In the event that a Product is listed at an incorrect price on the Store due to typographical error or error in pricing information received from our suppliers, we reserve the right to refuse or cancel any orders placed for the Product listed at the incorrect price. We reserve the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit or debit card charged. If your credit or debit card has already been charged for the purchase and your order is canceled, we will promptly issue a credit to your credit or debit card account in the amount of the incorrect price paid. 

6. PAYMENT

Terms. Any payment terms presented to you in the process of purchasing your Products are deemed part of these Terms of Sale and are incorporated herein by reference. You agree to pay for all orders in accordance with the prices and such billing terms in effect at the time of your order. For all orders, WHOOP calculates and charges sales tax in accordance with applicable laws. You agree to pay all applicable taxes and shipping charges. You must provide WHOOP with a valid credit card or other account information from a valid payment provider accepted by WHOOP (each, a “Payment Provider”) By providing a credit card or other payment method accepted by WHOOP (“Payment Method”), you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our Payment Processor (as defined below)) to immediately charge your payment method for the total amount of your order (including any applicable taxes and other charges). If the payment method you provide cannot be verified, is invalid or is otherwise not acceptable, your order may be suspended or cancelled. You must resolve any payment problem we encounter in order to proceed with your order. 

Billing. We may collect payments for the Products from you directly or we may use a third-party payment processor (“Payment Processor”) to bill you through a payment account selected by you at checkout or linked to your Account. We use Stripe, Inc. and its affiliates (“Stripe”) as a third-party service provider for payment services.  The processing of payments by a Payment Processor will be subject to the terms, conditions and privacy policies of such Payment Processor in addition to these Terms of Sale. You agree to be bound by Stripe’s Privacy Policy (currently accessible at https://stripe.com/us/privacy) and its Terms of Service (currently accessible at https://stripe.com/ssa) and hereby consent and authorize WHOOP and Stripe and any other Payment Processor to share any information and payment instructions you provide with each other and the provider of your Payment Method to the minimum extent required to complete your transactions. We are not responsible for any errors by a Payment Processor. By choosing to purchase a Product, you agree to pay us, either directly or through a Payment Processor, all amounts for the applicable order in accordance with the applicable payment terms and you authorize us, through a Payment Processor, to charge your Payment Method. You agree to make payment using your selected Payment Method. We reserve the right to correct any errors or mistakes that we or a Payment Processor make even if we or a Payment Processor have already requested or received payment.

Payment Method. Your Payment Provider agreement governs your use of the designated Payment Method, and you must refer to that agreement, not this Agreement, to determine your rights and liabilities. 

7. DISCOUNT AND PROMO CODES

We may, in our sole discretion, create discounts and promotional codes that may be redeemed for discounts or other benefits, subject to any additional terms that we establish on a per promotional code basis (“Promo Codes”). Promo Codes may only be used once per person. Only Promo Codes sent to you through official WHOOP communications channels are valid. You agree that Promo Codes: (i) must be used for the intended audience and purpose, and in a lawful manner; (ii) may not be duplicated, sold, or transferred in any manner, or made available to the general public (whether posted to a public forum or otherwise), unless expressly permitted by us; (iii) may be disabled by us at any time for any reason without liability to us; (iv) may only be used pursuant to the specific terms that we establish for such Promo Code; (v) are not redeemable for cash; and (vi) may expire prior to your use.

8. RESALE RESTRICTION

Purchases made on the Store or via an Authorized Reseller are intended for personal use only and are not authorized for resale (aside from the individual sale of Products by a consumer who purchased same for personal use). We reserve the right to refuse or cancel your order if we suspect you are purchasing Products for resale. 

9. SHIPPING AND DELIVERY

For purchases made on the Store, our delivery charges and methods are as described on our website. The estimated arrival or delivery date is not a guaranteed delivery date for your order, and you agree that we are not liable for late deliveries. WHOOP uses a third-party service provider for fulfilling orders. By ordering any Product, you acknowledge that neither WHOOP nor Authorized Reseller has any responsibility or liability for any delays that may result from orders handled by such third-party service provider. Refused deliveries will be returned to our warehouse. It may take up to 45 days for the returned items to be identified as refused and processed for a refund. 

10. RETURNS FOR REFUND

Our Return Policy for WHOOP Devices that are part of a WHOOP Membership Order. For the return policy for WHOOP Devices ordered and shipped in connection with a WHOOP Membership, see the Terms of Use.

Our Return Policy for other Products. If you purchased apparel and accessories from the Store, WHOOP will accept all unworn returns within thirty (30) days of delivery, unless marked as final sale (i.e., Boxers, WHOOP Your Way). Non-WHOOP Pro members must cover the cost of shipping to return the applicable Product. To initiate a return, please visit support.whoop.com and submit a request. WHOOP reserves the right to reject the return if the product is worn or used. In this case, the member will not receive a refund.

If you purchased apparel and accessories from an Authorized Reseller, you must return the initial purchase to the original point of sale for a refund, subject to the Authorized Reseller’s return policy. WHOOP will not at any time issue a refund for any apparel or accessories purchases made from an Authorized Reseller or any other third-party retailer or any other third-party marketplace.

Exchange Policy. If you purchased apparel and accessories from the Store, members can exchange these unused and unworn purchases for free, subject to the terms and conditions herein. WHOOP accepts all unused and unworn apparel and accessory exchanges within thirty (30) days of delivery, unless marked as final sale (i.e., Boxers, WHOOP Your Way). To initiate a return, please visit support.whoop.com and submit a request. WHOOP reserves the right to reject the return if the product is worn or used. In this case, the member will be charged for the exchanged product.

If you purchased apparel and accessories from an Authorized Reseller, exchanges must be initiated at the original point of sale. All exchanges are subject to the exchange policy of the Authorized Reseller. WHOOP will not at any time issue an exchange for any apparel or accessories purchases made from an Authorized Reseller or any other third-party retailer or any other third-party marketplace. 

11. COMPATIBILITY

Products sold through the Store or via an Authorized Reseller and by WHOOP Authorized Partners are the only items compatible with the Products, including but not limited to the WHOOP Device. You agree that lack of compatibility does not constitute a defect giving rise to a claim under our Limited Warranty described in our Terms of Use (“Limited Warranty”). Furthermore, you will be solely responsible for damage resulting to your Product, and any other peripherals, accessories, or apparel used in conjunction with the Product, due to your use of any product or service that is not compatible with the Product. 

12. WARRANTIES AND DISCLAIMERS

EXCEPT FOR THE LIMITED WARRANTY,  TO THE EXTENT PERMITTED UNDER APPLICABLE LAWS, THE STORE AND ALL PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS OF ANY KIND AND WE HEREBY DISCLAIM ALL IMPLIED WARRANTIES AND CONDITIONS, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES’ RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE.

You use any and all Products at your own discretion and risk. Other than as provided for under the Limited Warranty, to the extent permitted by applicable laws, you will be solely responsible for (and WHOOP disclaims) any and all loss, liability, or damages resulting from your use of a Product, including damage or loss to your Product. 

13. LIMITATION OF LIABILITY

TO THE EXTENT PERMITTED BY APPLICABLE LAWS, (A) IN NO EVENT SHALL WE OR AN AUTHORIZED RESELLER OR WHOOP AUTHORIZED PARTNER, NOR ANY SUCH PARTY’S OFFICERS, DIRECTORS, AGENTS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS, OR WHOOP’S LICENSORS (COLLECTIVELY, THE “WHOOP PARTIES”) BE LIABLE FOR ANY INDIRECT DAMAGES (INCLUDING, WITHOUT LIMITATION, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION), EVEN IF WHOOP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (B) IN NO EVENT SHALL THE AGGREGATE AMOUNT THAT THE WHOOP PARTIES ARE LIABLE TO YOU EXCEED THE GREATER OF (I) THE AMOUNT PAID FOR A PARTICULAR PRODUCT, (II) $100, OR (III) THE REMEDY OR PENALTY IMPOSED BY THE STATUTE OR REGULATION UNDER WHICH SUCH CLAIM ARISES, EVEN IF A WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN WHOOP OR AUTHORIZED RESELLER AND YOU. 

SOME STATES AND JURISDICTIONS, DO NOT ALLOW EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH STATES OR JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

IF YOU ARE A USER FROM NEW JERSEY, SECTION 12 (WARRANTIES AND DISCLAIMERS) AND SECTION 13 (LIMITATION OF LIABILITY) ARE INTENDED TO BE, AND ARE, ONLY AS BROAD AS IS PERMITTED UNDER THE LAWS OF THE STATE OF NEW JERSEY. IF ANY PROVISION OF THESE SECTIONS IS HELD TO BE INVALID UNDER THE LAWS OF THE STATE OF NEW JERSEY, THE INVALIDITY OF SUCH PROVISION SHALL NOT AFFECT THE VALIDITY OF THE REMAINING PROVISIONS OF THE APPLICABLE SECTIONS. 

14. DATA PROTECTION

By placing an order for Products, you agree and understand that WHOOP may store, share, process and use data collected from your order form or phone/fax/email order for the purposes of processing the order. You acknowledge that the processing of any of your personal information is governed by our Privacy Policy. WHOOP works with other companies that help WHOOP provide Products to you, such as freight carriers and credit card processing companies, and you direct WHOOP to share certain information with these companies for this purpose. 

15. ELECTRONIC COMMUNICATIONS

You are communicating with WHOOP electronically when you use the Store or send an email to WHOOP. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. When you order through the Store, we collect and store your email address. From that point forward, your email address is used to send you information about our products and services unless you opt-out of such emails. 

16. NOTIFICATIONS

WHOOP may provide notifications to you as required by law or for marketing or other purposes via (at its option) email to the email associated with your order. WHOOP is not responsible for any automatic filtering you or your network provider may apply to email notifications. WHOOP recommends that you add @whoop.com URLs to your email address book to help ensure you receive email notifications from WHOOP. For notifications made by e-mail, the date on which the message is sent will be deemed the date on which such notification is transmitted. 

17. FORCE MAJEURE

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a contract that is caused by an act or event beyond our reasonable control, including without limitation acts of God, strikes, lock-outs or other industrial action by third parties, civil commotion, riot, terrorist attack, war, fire, explosion, storm, flood, earthquake, epidemic or other natural disaster, failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport. 

18. SEVERABILITY

If any provision of these Terms of Sale is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Sale, which shall remain in full force and effect. 

19. NON-WAIVER

Failure by us to act on or enforce any provision of these Terms of Sale shall not be construed as a waiver of that provision or any other provision in these Terms of Sale. No waiver shall be effective against us unless made in writing, and no such waiver shall be construed as a waiver in any other or subsequent instance. 

20. EXPORT CONTROLS

You will not export or re-export, directly or indirectly, the products or services, or any technical information related thereto, to any destination or person prohibited or restricted by U.S. export control laws and regulations and any applicable laws of the country you reside. 

21. GOVERNING LAW AND JURISDICTION

These Terms of Sale are governed by the internal substantive laws of the Commonwealth of Massachusetts, without respect to its conflict of law provisions. You expressly agree to submit to the exclusive personal jurisdiction of the state and federal courts sitting in the City of Boston in the Commonwealth of Massachusetts. 

22. ADDITIONAL TERMS

Additional terms may apply to certain Products. In the event there is a conflict between these Terms of Sale and any additional terms (including our Terms of Use), the additional terms (including our Terms of Use) will control.

I PRESENTI TERMINI RIGUARDANO INFORMAZIONI IMPORTANTI SUI PRODOTTI CHE ACQUISTI E SU QUALSIASI COSTO E IMPORTO CHE TI ADDEBITIAMO.

DICHIARI E CONFERMI DI AVERE IL DIRITTO, L'AUTORITÀ E LA CAPACITÀ DI ACCETTARE LE PRESENTI CONDIZIONI DI VENDITA E DI AVER RAGGIUNTO L'ETÀ LEGALE, NELLA TUA GIURISDIZIONE O RESIDENZA, PER ACCETTARE LE PRESENTI CONDIZIONI DI VENDITA E ACQUISTARE E UTILIZZARE I PRODOTTI. “TU” E “TUO” SI RIFERISCONO ALLA PERSONA CHE ACQUISTA UN PRODOTTO, OPPURE, SE ACQUISTI UN PRODOTTO PER CONTO DI UN DATORE DI LAVORO, AZIENDA, ORGANIZZAZIONE O ALTRA ENTITÀ, ALLORA (I) TUTTI I RIFERIMENTI A “TE” NELLE PRESENTI CONDIZIONI DI VENDITA INCLUDONO TE E TALE ENTITÀ, INOLTRE (II) DICHIARI E CONFERMI DI ESSERE UN RAPPRESENTANTE AUTORIZZATO DELL'ENTITÀ CON L'AUTORITÀ DI VINCOLARE L'ENTITÀ ALLE PRESENTI CONDIZIONI DI VENDITA E (III) ACCETTI LE PRESENTI CONDIZIONI DI VENDITA PER CONTO DELL'ENTITÀ.

ORDINANDO UN PRODOTTO, riconosci di aver letto, compreso e accettato di essere vincolato dalle presenti Condizioni di vendita. Se il tuo ordine include un Abbonamento, i nostri Termini di utilizzo sono parte integrante delle Condizioni di vendita, per riferimento. Se non accetti le presenti Condizioni di vendita, non sei autorizzato ad acquistare Prodotti dal Negozio. Ci riserviamo il diritto di modificare le presenti Condizioni di vendita in qualsiasi momento, e ti preghiamo pertanto di consultare nuovamente le Condizioni di vendita prima di effettuare qualsiasi acquisto dal Negozio. Ogni volta che ordinerai i Prodotti, tra te e WHOOP si applicheranno le Condizioni di Vendita in vigore in quel momento. Nelle presenti Condizioni di vendita, qualsiasi parola che segue il termine "incluso" o qualsiasi espressione simile sarà interpretata come illustrativa e non limiterà il senso delle parole, della descrizione, della definizione, della frase o del termine che precedono tali termini.

Anche se tutte le presenti Condizioni di vendita sono importanti, presta particolare attenzione a: (a) obblighi di pagamento (Sezione 5); (b) esclusioni di garanzia (Sezione 10); e (c) limitazione di responsabilità (Sezione 12).

1. INTRODUZIONE

Alcuni dei nostri Prodotti, come la fascia WHOOP (la “Fascia WHOOP”), sono inclusi nei servizi di abbonamento offerti da WHOOP (“Abbonamento”) insieme alla Fascia WHOOP e consentono all'utente di tracciare, gestire e condividere dati sul benessere raccolti dalla Fascia WHOOP. Per usare l'Abbonamento, l'utente dovrà creare un account (“Account”), come descritto nei nostri Termini di utilizzo. Se sei l'utente di un Prodotto utilizzabile solamente dopo aver accettato i Termini di utilizzo, assicurati di consultare i nostri Termini di utilizzo e verificare i termini relativi al tuo Abbonamento e ai servizi a esso collegati. Se stai acquistando un regalo che implica la necessità di accettare i Termini di utilizzo per poter utilizzare il Prodotto, il destinatario del regalo dovrà leggere e accettare i nostri Termini di utilizzo prima di poter utilizzare il Prodotto, l'Abbonamento applicabile e i servizi a esso collegati.

Pur essendo possibile accedere al Negozio da qualsiasi parte del mondo, i Prodotti offerti nel Negozio non sono progettati né testati per essere utilizzati in tutti i paesi. Se scegli di effettuare l'accesso al Negozio e/o utilizzare i Prodotti, decidi di farlo di tua iniziativa, e la responsabilità di rispettare le leggi applicabili nel tuo paese spetta solamente a te. Hai compreso e accettato che il Negozio, i Prodotti e tutti i servizi a essi collegati non sono progettati per essere utilizzati in tutti i paesi e che alcune delle funzioni del Negozio, dei Prodotti e di eventuali servizi a essi collegati, potrebbero non funzionare o non essere appropriate in tutti i paesi.

2. PARTNER AUTORIZZATI WHOOP

WHOOP potrebbe collaborare con alcuni brand (nell'insieme, i “Partner autorizzati WHOOP”) per offrire la capacità di integrare alcuni Prodotti WHOOP in altri prodotti offerti dai Partner autorizzati WHOOP. Identificheremo i Partner autorizzati WHOOP e qualsiasi prodotto a loro associato nel Negozio.

3. DISPONIBILITÀ

Tutti i Prodotti offerti nel Negozio sono soggetti a disponibilità. Ci riserviamo il diritto di imporre limiti di quantità a qualsiasi ordine, rifiutare un ordine in parte o nella sua interezza e smettere di offrire alcuni Prodotti senza alcun preavviso.

Nella misura massima consentita dalle leggi applicabili, non forniamo alcuna dichiarazione, garanzia o condizione in merito alla completezza, accuratezza, affidabilità, validità o tempestività di elenchi, descrizioni o immagini (incluse, ma non limitatamente a, eventuali caratteristiche e specifiche come pesi e dimensioni ) relativi a tutti i Prodotti disponibili tramite il Negozio. Tali informazioni, nonché la disponibilità di qualsiasi Prodotto (inclusa, ma non limitatamente a, la validità di qualsiasi coupon o sconto), sono soggette a modifiche in qualsiasi momento senza preavviso. Adoperiamo ogni ragionevole sforzo per mostrare in modo accurato le caratteristiche dei Prodotti, inclusi i colori applicabili, tuttavia i colori effettivi che vedi dipenderanno dal tuo sistema informatico e non possiamo garantire che il tuo computer li visualizzi in modo accurato. 4. PREZZO

I prezzi sono indicati nella valuta applicabile in base alla località selezionata. Il prezzo totale dei Prodotti includerà il prezzo dei Prodotti contenuti nell'ordine più eventuali imposte sulle vendite e spese di spedizione applicabili, al netto degli eventuali sconti offerti. Pur riservandoci il diritto di modificare i prezzi in qualsiasi momento, le modifiche non influenzeranno nessun ordine di Prodotti già effettuato prima della modifica del prezzo. Non forniamo protezione del prezzo o rimborsi in caso di riduzione del prezzo o di offerte promozionali. Nel caso in cui un Prodotto sia messo in vendita a un prezzo errato a causa di un errore di tipografia o di un errore nelle informazioni sui prezzi ricevute dai nostri fornitori, ci riserviamo il diritto di rifiutare o annullare qualsiasi ordine effettuato per il Prodotto messo in vendita al prezzo errato. Ci riserviamo il diritto di rifiutare o annullare tali ordini, indipendentemente dal fatto che gli ordini siano stati confermati o meno, e che abbiamo effettuato l'addebito sulla tua carta di credito o debito. Se l'acquisto è già stato addebitato sulla tua carta di credito o debito e il tuo ordine viene annullato, emetteremo tempestivamente sulla tua carta di credito o debito un accredito pari all'importo del prezzo errato pagato.

5. PAGAMENTO

Condizioni. WHOOP calcola e addebita l'imposta sulle vendite in conformità con le leggi applicabili per tutti gli ordini. Fornendo un numero di carta di credito o un altro metodo di pagamento accettato da WHOOP, dichiari e confermi di essere autorizzato a utilizzare il metodo di pagamento designato e di autorizzare noi (o il nostro Elaboratore di pagamento, come definito di seguito) ad addebitare sul tuo metodo di pagamento l'importo totale dell'ordine (incluse eventuali tasse applicabili e altri oneri). Fatturazione. Potremo raccogliere pagamenti per i Prodotti direttamente da te o utilizzare un elaboratore di pagamento di una parte terza ( “Elaboratore di pagamento”) per addebitare un pagamento al checkout o tramite un conto di pagamento legato all'Account. L'elaborazione dei pagamenti tramite un Elaboratore di pagamento sarà soggetta ai termini, alle condizioni e alle informative sulla riservatezza di tale Elaboratore di pagamento, oltre che alle presenti Condizioni di vendita. Non saremo responsabili per eventuali errori commessi dall'Elaboratore di pagamento. Scegliendo di acquistare un Prodotto, accetti di pagare a WHOOP, direttamente o tramite un Elaboratore di pagamento, tutti gli importi dovuti al prezzo in vigore in quel momento e come stabilito dai termini di pagamento applicabili; ci autorizzi inoltre ad addebitare la somma dovuta all'elaboratore di pagamento che ha scelto (il tuo “Metodo di pagamento”), tramite un Elaboratore di pagamento. Accetti di effettuare il pagamento tramite il Metodo di pagamento che hai selezionato. Ci riserviamo il diritto di correggere eventuali errori che noi o un Elaboratore di pagamento potremmo effettuare, anche qualora noi o un Elaboratore di pagamento avessimo già richiesto o ricevuto il pagamento.

Metodo di pagamento. I termini del tuo pagamento saranno basati sul tuo Metodo di pagamento e possono essere determinati da accordi in essere tra te e l'istituto finanziario, l'emittente della carta di credito o un altro provider del Metodo di pagamento selezionato. Se WHOOP, tramite un Elaboratore di pagamento, non ricevesse il pagamento da te effettuato, tu accetti di pagare tutti gli importi dovuti per il tuo ordine e/o sul tuo Conto di pagamento a seguito di una nostra richiesta.

6. RIVENDITA E TRASFERIMENTO DEL TITOLO

Gli acquisti effettuati nel Negozio sono pensati unicamente per gli utenti finali, e la loro rivendita non è autorizzata. Qualora sospettassimo che tu stia acquistando Prodotti per rivenderli, ci riserviamo il diritto di rifiutare o annullare l'ordine. La proprietà dei Prodotti acquistati dal Negozio passa all'acquirente al momento della consegna da parte di WHOOP al corriere, ma WHOOP e/o il corriere saranno responsabili per eventuali perdite o danni al Prodotto che si verificano durante il transito del Prodotto a te.

7. SPEDIZIONE E CONSEGNA

Gli oneri e i metodi di consegna di WHOOP sono quelli descritti sul sito web del Negozio. La data di arrivo o di consegna stimata non è una data di consegna garantita per l'ordine e accetti che non siamo responsabili per consegne tardive. Le consegne rifiutate verranno restituite al nostro magazzino. Prima che gli articoli restituiti vengano identificati come rifiutati e che un rimborso venga elaborato, potrebbero essere necessari fino a 45 giorni.

8. RESI AI FINI DI RIMBORSO

La nostra Politica di reso per le Fasce WHOOP. Per consultare la Politica di reso delle Fasce WHOOP e delle Batterie portatili spedite inizialmente con le Fasce WHOOP applicabili, consulta i nostri Termini di utilizzo.

La nostra Politica di reso per altri Prodotti. WHOOP accetta tutti i resi di capi di abbigliamento e accessori non indossati se effettuati entro trenta (30) giorni dalla consegna, a meno che non fossero indicati come ultima offerta (ad es., Boxers, WHOOP Your Way). Se non sei un iscritto WHOOP Pro, ti verranno addebitati i costi di spedizione per il reso del Prodotto applicabile. Per avviare un reso, visita support.whoop.com e invia una richiesta. WHOOP si riserva il diritto di rifiutare il reso se il prodotto è stato indossato o utilizzato. In questo caso, l'iscritto non riceverà un rimborso.

Politica di cambio. Gli iscritti membri possono cambiare gratuitamente i capi di abbigliamento e gli accessori che acquistano. WHOOP accetta il cambio di capi di abbigliamento e accessori non indossati se effettuato entro trenta (30) giorni dalla consegna, a meno che non fossero indicati come ultima offerta (ad es., Boxers, WHOOP Your Way). Per avviare un reso, visita support.whoop.com e invia una richiesta. WHOOP si riserva il diritto di rifiutare il reso se il prodotto è stato indossato o utilizzato. In questo caso, all'utente verrà addebitato il prodotto cambiato. Le suddette politiche di reso e cambio vanno considerate un'aggiunta (e non una sostituzione) al diritto di annullamento del consumatore, che consente di annullare l'ordine, del tutto o in parte, e ricevere un rimborso del prezzo pagato e delle nostre spese di spedizione standard, pagabili per quell'ordine, entro quattordici (14) giorni dalla data in cui tu o un terzo da te nominato, esclusi i corrieri, prendete possesso di tutti i Prodotti inclusi in tale ordine. Se desideri esercitare questo diritto, dovrai comunicarcelo utilizzando i dettagli forniti nella Sezione 24. Se annulli un ordine in conformità ai tuoi diritti legali, dovrai restituire a WHOOP i Prodotti in questione entro quattordici (14) giorni per ricevere il rimborso sopra descritto. Quando eserciti questo diritto, la responsabilità dei costi di reso dei Prodotti spetta a te.

9. COMPATIBILITÀ

I Prodotti venduti tramite il Negozio e dai Partner autorizzati WHOOP sono gli unici articoli compatibili con i Prodotti, inclusa, senza esservi limitata, la Fascia WHOOP. Accetti che la mancata compatibilità non costituisca un difetto che possa generare un reclamo ai sensi delle nostre Garanzie limitate, indicate di seguito, o come indicato nei nostri Termini di utilizzo. Inoltre, la responsabilità per eventuali danni risultanti al Prodotto e a qualsiasi altra periferica, accessorio o abbigliamento utilizzati insieme al Prodotto, e causati dell'utilizzo di qualsiasi prodotto o servizio non compatibile con il Prodotto, spetta solamente a te.

10. GARANZIE ED ESCLUSIONI

In qualità di consumatore, hai taluni diritti di fronte alla legge, e nulla nelle presenti Condizioni di vendita può, o è inteso a, limitare o rimuovere tali diritti. Non escludiamo né limitiamo la nostra responsabilità nei tuoi confronti per danni o perdite laddove sia illegale farlo, inclusi i casi di beni difettosi o erroneamente descritti.

AD ECCEZIONE DELLE GARANZIE LIMITATE RIPORTATE DI SEGUITO, NELLA MISURA MASSIMA CONSENTITA DALLE LEGGI APPLICABILI, IL NEGOZIO E TUTTI I PRODOTTI, SERVIZI E CONTENUTI DISPONIBILI SUL NEGOZIO SONO FORNITI "COSÌ COME SONO" E "COME DISPONIBILI", SENZA ALCUNA GARANZIA ESPLICITA O IMPLICITA E SENZA CONDIZIONI DI ALCUN TIPO. CON IL PRESENTE DOCUMENTO DECLINIAMO TUTTE LE GARANZIE E CONDIZIONI IMPLICITE, INCLUSE, MA NON LIMITATAMENTE A, LA GARANZIA DI PROPRIETÀ, QUALITÀ SODDISFACENTE, MANCATA VIOLAZIONE DEI DIRITTI DI TERZE PARTI E IDONEITÀ PER SCOPI PARTICOLARI.

Utilizzi i Prodotti a tua discrezione e a tuo rischio. La responsabilità (esclusa da WHOOP) per qualsiasi eventuale perdita, responsabilità o danno derivante dall'utilizzo del Prodotto, inclusi danni o perdite relativi al Prodotto e a qualsiasi periferica, accessorio o capo di abbigliamento legato al Prodotto, spetta solamente a te.

Garanzia limitata: Fascia WHOOP. Per la garanzia limitata per le Fasce WHOOP e le Batterie portatili spedite inizialmente con le Fasce WHOOP applicabili, consulta i Termini di utilizzo.

11. POLITICA DI UPGRADE

Il pagamento di un costo una-tantum per l'upgrade o la sostituzione della Fascia WHOOP non modifica i termini dell'Abbonamento né di alcun Servizio ad esso collegato.

Se, nell'ambito di un'offerta di rinnovo dell'Abbonamento, ti viene fornita una Fascia WHOOP aggiornata o sostitutiva, il nuovo periodo di Abbonamento avrà inizio immediatamente al momento dell'acquisto, e i giorni rimanenti dell'attuale Abbonamento, laddove presenti, saranno collegati al tuo account.

12. LIMITAZIONE DI RESPONSABILITÀ

IN NESSUN CASO SAREMO RESPONSABILI PER EVENTUALI DANNI DIRETTI O INDIRETTI (INCLUSI, MA NON LIMITATAMENTE A, DANNI INCIDENTALI, SPECIALI O CONSEQUENZIALI, MANCATI PROFITTI O DANNI DERIVANTI DA PERDITA DI DATI O INTERRUZIONE DI ATTIVITÀ) DERIVANTI DALL'UTILIZZO O DALL'IMPOSSIBILITÀ DI UTILIZZARE I PRODOTTI, SIA BASATI SU GARANZIA, CONTRATTO, ILLECITO (INCLUSA LA NEGLIGENZA), O QUALSIASI ALTRA TEORIA LEGALE, SUPERIORI ALL'IMPORTO PAGATO PER UN PARTICOLARE PRODOTTO, ANCHE SE SIAMO STATI AVVISATI DELLA POSSIBILITÀ DI TALI DANNI.

In alcune giurisdizioni, le normative sulla protezione dei consumatori potrebbero non consentire alcune esclusioni o limitazioni di responsabilità; di conseguenza, alcune delle esclusioni e limitazioni di responsabilità contenute nelle presenti Condizioni di vendita potrebbero non applicarsi, del tutto o in parte. 13. PROTEZIONE DEI DATI

Ordinando i prodotti, accetti e comprendi che WHOOP potrebbe conservare, condividere, elaborare e utilizzare i dati raccolti dal modulo utilizzato per effettuare l'ordine o dalla telefonata/email/fax relativi all'ordine allo scopo di elaborare tale ordine. WHOOP elaborerà i tuoi dati in conformità con la nostra Informativa sulla riservatezza. WHOOP lavora con altre aziende che la aiutano a fornirti i Prodotti, come corrieri e società di elaborazione di carte di credito, e tu autorizzi a WHOOP a condividere alcuni dati con tali aziende a questo scopo.

14. COMUNICAZIONI ELETTRONICHE

Quando usi il Negozio o la nostra applicazione mobile o invii un'email a WHOOP, comunichi con WHOOP elettronicamente. Accetti che tutti gli accordi, avvisi, divulgazioni e altre comunicazioni da noi fornite elettronicamente soddisfino l'eventuale requisito legale che tali comunicazioni avvengano in forma scritta. Quando ordini tramite il Negozio, raccogliamo e conserviamo il tuo indirizzo email. Da quel momento in poi, il tuo indirizzo email verrà utilizzato per inviarti informazioni sui nostri prodotti e servizi, a meno che tu non scelga di non ricevere tali email.

15. NOTIFICHE

WHOOP potrebbe inviarti notifiche come richiesto dalla legge o per scopi di marketing o altri scopi tramite (a sua discrezione) email al principale indirizzo email associato al tuo Account, copia cartacea o pubblicazione di tali notifiche sul sito web di WHOOP. WHOOP non è responsabile per eventuali filtri automatici che tu o il tuo provider di rete potreste applicare alle notifiche email. WHOOP consiglia di aggiungere gli URL @whoop.com alla tua rubrica email per assicurarti di ricevere notifiche email da WHOOP. Per le notifiche inviate tramite email, la data di invio del messaggio sarà considerata la data di trasmissione di tale notifica.

16. FORZA MAGGIORE

Non saremo responsabili per qualsiasi inadempimento o ritardo nell'adempimento di uno qualsiasi dei nostri obblighi ai sensi di un contratto causati da un atto o evento al di fuori del nostro ragionevole controllo, inclusi, ma non limitatamente a, atti di forza maggiore, scioperi, blocchi o altre azioni di terzi, disordini civili, sommosse, attacchi terroristici, guerre, incendi, esplosioni, tempeste, inondazioni, terremoti, epidemie o altri disastri naturali, guasto delle reti di telecomunicazioni pubbliche o private o impossibilità di utilizzo di ferrovie, trasporti marittimi, aerei, trasporti a motore o altri mezzi di trasporto pubblici o privati.

17. PROTEZIONE DEI DIRITTI DI PROPRIETÀ INTELLETTUALE E RISERVATEZZA

Fatto salvo quanto contenuto nel presente documento, WHOOP potrà richiedere provvedimenti ingiuntivi o altri provvedimenti equi per proteggere le proprie informazioni riservate e i propri diritti di proprietà intellettuale, o per prevenire la perdita di dati o danni ai propri server, in qualsiasi tribunale della giurisdizione competente.

18. ASSEGNAZIONE

Le presenti Condizioni di vendita, ed eventuali diritti e licenze assegnati in tali condizioni, non potranno essere trasferiti o assegnati da te, ma potrebbero essere assegnati da noi, senza limitazioni, a condizione che l'assegnazione non abbia alcun effetto sui tuoi diritti ai sensi delle Condizioni di vendita. Le Condizioni di vendita saranno a beneficio dei nostri successori e degli assegnatari autorizzati.

19. SEPARABILITÀ

Se una disposizione delle presenti Condizioni di vendita fosse ritenuta non valida da un tribunale competente, la mancata validità di tale disposizione non avrà effetto sulla validità delle rimanenti disposizioni delle presenti Condizioni di vendita, che rimarranno in vigore ed efficaci.

20. SOPRAVVIVENZA

Gli obblighi indicati nelle sezioni dalla 10 alla 24 e in qualsiasi altra Sezione che, per sua natura, debba sopravvivere alla risoluzione, sopravvivranno alla scadenza e alla risoluzione delle presenti Condizioni di vendita.

21. ESCLUSIONE DI RINUNCIA

L'incapacità da parte nostra di agire in merito alle presenti Condizioni di vendita, o di applicarne una disposizione, non potrà essere considerata una rinuncia a tale disposizione o qualsiasi altra disposizione delle presenti Condizioni di vendita. Nessuna rinuncia avrà alcun effetto nei nostri confronti a meno che non sia messa per iscritto, e nessuna rinuncia andrà interpretata come una rinuncia in qualsiasi altra o successiva istanza.

22. CONTROLLO DELLE ESPORTAZIONI

Non esporterai o riesporterai, direttamente o indirettamente, i prodotti o i servizi, o qualsiasi informazione tecnica correlata a tali prodotti e servizi, verso qualsiasi destinazione o persona proibita o limitata dalla legge applicabile, incluse, ma non limitatamente a, le leggi e le regolamentazioni statunitensi sul controllo delle esportazioni.

23. NORMATIVA APPLICABILE E GIURISDIZIONE

Le presenti Condizioni di Vendita, e qualsiasi disputa derivante da, o legata a, dispute (incluse le dispute non contrattuali) sono governate dalla legge inglese; potrai avviare procedimenti legali legati ai Servizi o al presente Contratto nei tribunali inglesi. Se vivi al di fuori dall'Inghilterra, sia tu che WHOOP potrete avviare procedimenti legali nel rispetto dei Prodotti o delle presenti Condizioni di vendita, sia nei tribunali locali che presso quelli inglesi.

YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ACCEPT AND AGREE TO THESE TERMS OF SALE AND ARE OF SUFFICIENT LEGAL AGE IN YOUR JURISDICTION OR RESIDENCE TO ENTER INTO THESE TERMS OF SALE AND TO PURCHASE AND USE THE PRODUCTS. “YOU” AND “YOUR” REFER TO THE PERSON PURCHASING A PRODUCT OR IF YOU PURCHASE A PRODUCT ON BEHALF OF AN EMPLOYER, COMPANY, ORGANIZATION, OR OTHER ENTITY, THEN (I) ALL REFERENCES TO “YOU” HEREIN INCLUDE YOU AND THAT ENTITY, (II) YOU REPRESENT AND WARRANT THAT YOU ARE AN AUTHORIZED REPRESENTATIVE OF THE ENTITY WITH THE AUTHORITY TO BIND THE ENTITY TO THESE TERMS OF SALE, AND (III) YOU AGREE TO THESE TERMS OF SALE ON THE ENTITY’S BEHALF.

THIS IS A LEGAL AGREEMENT. BY PLACING AN ORDER FOR A PRODUCT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SALE. 

If you do not accept these Terms of Sale, then you are not authorized to purchase Products. In these Terms of Sale, any words following the term “including” or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.

We reserve the right to change these Terms of Sale at any time, so please review the Terms of Sale each time prior to making a purchase. Every time you order Products, the Terms of Sale in force at that time will apply between you and WHOOP. Please read these terms carefully.

1. INTRODUCTION

Although the Store is accessible worldwide, the Products offered on the Store are not designed and tested for use in all countries. If you choose to access the Store and/or use the Products, you choose to do so on your own initiative and you are solely responsible for complying with applicable local laws in your country. You understand and accept that the Store, the Products, and any related services are not designed for use in all countries and some or all of the features of the Store, Products, and any related services may not work or be appropriate for use in all countries. It is your responsibility to understand and comply with all applicable local, state, federal and foreign laws (including minimum age requirements) regarding the purchase, possession and use of any Product. 

2. WHOOP AUTHORIZED PARTNERS

WHOOP may collaborate with certain brands (collectively, the “WHOOP Authorized Partners”) to offer the capability to integrate certain WHOOP Products into certain other products offered by the WHOOP Authorized Partners.  We will identify the WHOOP Authorized Partners and any products associated therewith in the Store. 

3. ORDER PROCESS

Order Acceptance.  Each part of any order that you submit to WHOOP or an Authorized Reseller constitutes an offer to purchase. If you do not receive a message from WHOOP or an Authorized Reseller confirming receipt of your order, please contact our (or the Authorized Reseller’s, as applicable) customer service department at support@whoop.com before re-entering your order. WHOOP’s or an Authorized Reseller’s confirmation of receipt of your order does not constitute WHOOP's or Authorized Reseller’s acceptance of your order. WHOOP or Authorized Reseller (as applicable) is only deemed to have accepted your order once the Product(s) you ordered have been shipped.

Order Issues.  Although we strive to accept all valid orders, WHOOP and Authorized Reseller reserve the right to deny any order for any reason, including if: (i) we discover an error in pricing and/or other information about the Product or receive insufficient or erroneous billing, payment, and/or shipping information, (ii) we suspect an order has been placed using stolen payment card information or otherwise appears to be connected to fraud, or (iii) the ordered Product is unavailable due to discontinuance or otherwise. WHOOP and Authorized Reseller may also refuse any order that is connected with a previous payment dispute.

4. AVAILABILITY

All Products offered on the Store and via an Authorized Reseller are subject to availability. We reserve the right to impose quantity limits on any order, to reject all or part of an order, and to discontinue offering certain Products without prior notice. To the extent permitted under applicable laws, we make no representations, warranties, or conditions as to the completeness, accuracy, reliability, validity or timeliness of any listings, content, descriptions or images (including, without limitation, any features and specifications such as weights and sizes) for any Products available through the Store or via an Authorized Reseller. Such information, including pricing, and the availability of any Product are subject to change at any time without notice. We make reasonable efforts to accurately display the attributes of Products, including the applicable colors, however the actual colors you see on the Store will depend on your computer system, and we cannot guarantee that your computer will accurately display such colors. THE INCLUSION OF ANY PRODUCTS ON THE STORE OR BY AN AUTHORIZED RESELLER AT A PARTICULAR TIME DOES NOT IMPLY OR WARRANT THAT THESE PRODUCTS WILL BE AVAILABLE AT ANY TIME.  

5. PRICING

Prices are stated in the applicable currency based on your selected location. Your total price charged for Products will include the price of the Products in your order plus any applicable sales tax and shipping charges, less any discounts offered. We reserve the right to change prices at any time, but changes will not affect any order for Products you have already placed prior to the change in price. We do not provide price protection or refunds in the event of a price drop or promotional offering. In the event that a Product is listed at an incorrect price on the Store due to typographical error or error in pricing information received from our suppliers, we reserve the right to refuse or cancel any orders placed for the Product listed at the incorrect price. We reserve the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit or debit card charged. If your credit or debit card has already been charged for the purchase and your order is canceled, we will promptly issue a credit to your credit or debit card account in the amount of the incorrect price paid. 

6. PAYMENT

Terms. Any payment terms presented to you in the process of purchasing your Products are deemed part of these Terms of Sale and are incorporated herein by reference. You agree to pay for all orders in accordance with the prices and such billing terms in effect at the time of your order. For all orders, WHOOP calculates and charges sales tax in accordance with applicable laws. You agree to pay all applicable taxes and shipping charges. You must provide WHOOP with a valid credit card or other account information from a valid payment provider accepted by WHOOP (each, a “Payment Provider”) By providing a credit card or other payment method accepted by WHOOP (“Payment Method”), you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our Payment Processor (as defined below)) to immediately charge your payment method for the total amount of your order (including any applicable taxes and other charges). If the payment method you provide cannot be verified, is invalid or is otherwise not acceptable, your order may be suspended or cancelled. You must resolve any payment problem we encounter in order to proceed with your order. 

Billing. We may collect payments for the Products from you directly or we may use a third-party payment processor (“Payment Processor”) to bill you through a payment account selected by you at checkout or linked to your Account. We use Stripe, Inc. and its affiliates (“Stripe”) as a third-party service provider for payment services.  The processing of payments by a Payment Processor will be subject to the terms, conditions and privacy policies of such Payment Processor in addition to these Terms of Sale. You agree to be bound by Stripe’s Privacy Policy (currently accessible at https://stripe.com/us/privacy) and its Terms of Service (currently accessible at https://stripe.com/ssa) and hereby consent and authorize WHOOP and Stripe and any other Payment Processor to share any information and payment instructions you provide with each other and the provider of your Payment Method to the minimum extent required to complete your transactions. We are not responsible for any errors by a Payment Processor. By choosing to purchase a Product, you agree to pay us, either directly or through a Payment Processor, all amounts for the applicable order in accordance with the applicable payment terms and you authorize us, through a Payment Processor, to charge your Payment Method. You agree to make payment using your selected Payment Method. We reserve the right to correct any errors or mistakes that we or a Payment Processor make even if we or a Payment Processor have already requested or received payment.

Payment Method. Your Payment Provider agreement governs your use of the designated Payment Method, and you must refer to that agreement, not this Agreement, to determine your rights and liabilities. 

7. DISCOUNT AND PROMO CODES

We may, in our sole discretion, create discounts and promotional codes that may be redeemed for discounts or other benefits, subject to any additional terms that we establish on a per promotional code basis (“Promo Codes”). Promo Codes may only be used once per person. Only Promo Codes sent to you through official WHOOP communications channels are valid. You agree that Promo Codes: (i) must be used for the intended audience and purpose, and in a lawful manner; (ii) may not be duplicated, sold, or transferred in any manner, or made available to the general public (whether posted to a public forum or otherwise), unless expressly permitted by us; (iii) may be disabled by us at any time for any reason without liability to us; (iv) may only be used pursuant to the specific terms that we establish for such Promo Code; (v) are not redeemable for cash; and (vi) may expire prior to your use.

8. RESALE RESTRICTION

Purchases made on the Store or via an Authorized Reseller are intended for personal use only and are not authorized for resale (aside from the individual sale of Products by a consumer who purchased same for personal use). We reserve the right to refuse or cancel your order if we suspect you are purchasing Products for resale. 

9. SHIPPING AND DELIVERY

For purchases made on the Store, our delivery charges and methods are as described on our website. The estimated arrival or delivery date is not a guaranteed delivery date for your order, and you agree that we are not liable for late deliveries. WHOOP uses a third-party service provider for fulfilling orders. By ordering any Product, you acknowledge that neither WHOOP nor Authorized Reseller has any responsibility or liability for any delays that may result from orders handled by such third-party service provider. Refused deliveries will be returned to our warehouse. It may take up to 45 days for the returned items to be identified as refused and processed for a refund. 

10. RETURNS FOR REFUND

Our Return Policy for WHOOP Devices that are part of a WHOOP Membership Order. For the return policy for WHOOP Devices ordered and shipped in connection with a WHOOP Membership, see the Terms of Use.

Our Return Policy for other Products. If you purchased apparel and accessories from the Store, WHOOP will accept all unworn returns within thirty (30) days of delivery, unless marked as final sale (i.e., Boxers, WHOOP Your Way). Non-WHOOP Pro members must cover the cost of shipping to return the applicable Product. To initiate a return, please visit support.whoop.com and submit a request. WHOOP reserves the right to reject the return if the product is worn or used. In this case, the member will not receive a refund.

If you purchased apparel and accessories from an Authorized Reseller, you must return the initial purchase to the original point of sale for a refund, subject to the Authorized Reseller’s return policy. WHOOP will not at any time issue a refund for any apparel or accessories purchases made from an Authorized Reseller or any other third-party retailer or any other third-party marketplace.

Exchange Policy. If you purchased apparel and accessories from the Store, members can exchange these unused and unworn purchases for free, subject to the terms and conditions herein. WHOOP accepts all unused and unworn apparel and accessory exchanges within thirty (30) days of delivery, unless marked as final sale (i.e., Boxers, WHOOP Your Way). To initiate a return, please visit support.whoop.com and submit a request. WHOOP reserves the right to reject the return if the product is worn or used. In this case, the member will be charged for the exchanged product.

If you purchased apparel and accessories from an Authorized Reseller, exchanges must be initiated at the original point of sale. All exchanges are subject to the exchange policy of the Authorized Reseller. WHOOP will not at any time issue an exchange for any apparel or accessories purchases made from an Authorized Reseller or any other third-party retailer or any other third-party marketplace.

11. COMPATIBILITY

Products sold through the Store or via an Authorized Reseller and by WHOOP Authorized Partners are the only items compatible with the Products, including but not limited to the WHOOP Device. You agree that lack of compatibility does not constitute a defect giving rise to a claim under our Limited Warranty described in our Terms of Use (“Limited Warranty”). Furthermore, you will be solely responsible for damage resulting to your Product, and any other peripherals, accessories, or apparel used in conjunction with the Product, due to your use of any product or service that is not compatible with the Product. 

12. WARRANTIES AND DISCLAIMERS

EXCEPT FOR THE LIMITED WARRANTY,  TO THE EXTENT PERMITTED UNDER APPLICABLE LAWS, THE STORE AND ALL PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS OF ANY KIND AND WE HEREBY DISCLAIM ALL IMPLIED WARRANTIES AND CONDITIONS, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES’ RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE.

You use any and all Products at your own discretion and risk. Other than as provided for under the Limited Warranty, to the extent permitted by applicable laws, you will be solely responsible for (and WHOOP disclaims) any and all loss, liability, or damages resulting from your use of a Product, including damage or loss to your Product. 

13. LIMITATION OF LIABILITY

TO THE EXTENT PERMITTED BY APPLICABLE LAWS, (A) IN NO EVENT SHALL WE OR AN AUTHORIZED RESELLER OR WHOOP AUTHORIZED PARTNER, NOR ANY SUCH PARTY’S OFFICERS, DIRECTORS, AGENTS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS, OR WHOOP’S LICENSORS (COLLECTIVELY, THE “WHOOP PARTIES”) BE LIABLE FOR ANY INDIRECT DAMAGES (INCLUDING, WITHOUT LIMITATION, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION), EVEN IF WHOOP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (B) IN NO EVENT SHALL THE AGGREGATE AMOUNT THAT THE WHOOP PARTIES ARE LIABLE TO YOU EXCEED THE GREATER OF (I) THE AMOUNT PAID FOR A PARTICULAR PRODUCT, (II) $100, OR (III) THE REMEDY OR PENALTY IMPOSED BY THE STATUTE OR REGULATION UNDER WHICH SUCH CLAIM ARISES, EVEN IF A WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN WHOOP OR AUTHORIZED RESELLER AND YOU. 

SOME STATES AND JURISDICTIONS, DO NOT ALLOW EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH STATES OR JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

IF YOU ARE A USER FROM NEW JERSEY, SECTION 12 (WARRANTIES AND DISCLAIMERS) AND SECTION 13 (LIMITATION OF LIABILITY) ARE INTENDED TO BE, AND ARE, ONLY AS BROAD AS IS PERMITTED UNDER THE LAWS OF THE STATE OF NEW JERSEY. IF ANY PROVISION OF THESE SECTIONS IS HELD TO BE INVALID UNDER THE LAWS OF THE STATE OF NEW JERSEY, THE INVALIDITY OF SUCH PROVISION SHALL NOT AFFECT THE VALIDITY OF THE REMAINING PROVISIONS OF THE APPLICABLE SECTIONS. 

14. DATA PROTECTION

By placing an order for Products, you agree and understand that WHOOP may store, share, process and use data collected from your order form or phone/fax/email order for the purposes of processing the order. You acknowledge that the processing of any of your personal information is governed by our Privacy Policy. WHOOP works with other companies that help WHOOP provide Products to you, such as freight carriers and credit card processing companies, and you direct WHOOP to share certain information with these companies for this purpose. 

15. ELECTRONIC COMMUNICATIONS

You are communicating with WHOOP electronically when you use the Store or send an email to WHOOP. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. When you order through the Store, we collect and store your email address. From that point forward, your email address is used to send you information about our products and services unless you opt-out of such emails.

16. NOTIFICATIONS

WHOOP may provide notifications to you as required by law or for marketing or other purposes via (at its option) email to the email associated with your order. WHOOP is not responsible for any automatic filtering you or your network provider may apply to email notifications. WHOOP recommends that you add @whoop.com URLs to your email address book to help ensure you receive email notifications from WHOOP. For notifications made by e-mail, the date on which the message is sent will be deemed the date on which such notification is transmitted. 

17. FORCE MAJEURE

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a contract that is caused by an act or event beyond our reasonable control, including without limitation acts of God, strikes, lock-outs or other industrial action by third parties, civil commotion, riot, terrorist attack, war, fire, explosion, storm, flood, earthquake, epidemic or other natural disaster, failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport. 

18. SEVERABILITY

If any provision of these Terms of Sale is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Sale, which shall remain in full force and effect. 

19. NON-WAIVER

Failure by us to act on or enforce any provision of these Terms of Sale shall not be construed as a waiver of that provision or any other provision in these Terms of Sale. No waiver shall be effective against us unless made in writing, and no such waiver shall be construed as a waiver in any other or subsequent instance. 

20. EXPORT CONTROLS

You will not export or re-export, directly or indirectly, the products or services, or any technical information related thereto, to any destination or person prohibited or restricted by U.S. export control laws and regulations and any applicable laws of the country you reside. 

21. GOVERNING LAW AND JURISDICTION

These Terms of Sale are governed by the internal substantive laws of the Commonwealth of Massachusetts, without respect to its conflict of law provisions. You expressly agree to submit to the exclusive personal jurisdiction of the state and federal courts sitting in the City of Boston in the Commonwealth of Massachusetts. 

22. ADDITIONAL TERMS

Additional terms may apply to certain Products. In the event there is a conflict between these Terms of Sale and any additional terms (including our Terms of Use), the additional terms (including our Terms of Use) will control.
