WHOOP TERMS OF SALE
PLEASE READ THE FOLLOWING TERMS OF SALE (“TERMS OF SALE”) CAREFULLY BEFORE PURCHASING PRODUCTS (AS DEFINED BELOW) OFFERED BY WHOOP, INC. (“US”, “WE”, “OUR”, OR “WHOOP”). THESE TERMS OF SALE SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR PURCHASE OF THE WHOOP DEVICE, BANDS, CHARGERS AND POWERPACKS (COLLECTIVELY, THE ‘WHOOP DEVICE,” EVEN IF SUCH PURCHASE IS PART OF A WHOOP MEMBERSHIP PURCHASE), AND ANY PERIPHERALS, ACCESSORIES, APPAREL, OR OTHER PRODUCTS OFFERED BY WHOOP OR A WHOOP AUTHORIZED PARTNER (AS DEFINED BELOW), THAT ARE AVAILABLE FOR PURCHASE FROM OUR ONLINE STORE (THE “STORE”) OR THROUGH AN AUTHORIZED THIRD-PARTY RETAILER OR AUTHORIZED THIRD-PARTY MARKETPLACE (EACH, AN “AUTHORIZED RESELLER”) (COLLECTIVELY, THE “PRODUCTS” OR THE “WHOOP PRODUCTS”). PRODUCTS AND WHOOP PRODUCTS SHALL NOT INCLUDE THE PURCHASE OF WHOOP MEMBERSHIPS AND ADVANCED LABS SERVICES, WHICH SHALL BE GOVERNED UNDER OUR TERMS OF USE.
THESE TERMS OF SALE COVER IMPORTANT INFORMATION ABOUT THE PRODUCTS YOU PURCHASE AND ANY CHARGES AND AMOUNTS THAT WE BILL YOU.
YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ACCEPT AND AGREE TO THESE TERMS OF SALE AND ARE OF SUFFICIENT LEGAL AGE IN YOUR JURISDICTION OR RESIDENCE TO ENTER INTO THESE TERMS OF SALE AND TO PURCHASE AND USE THE PRODUCTS. “YOU” AND “YOUR” REFER TO THE PERSON PURCHASING A PRODUCT OR IF YOU PURCHASE A PRODUCT ON BEHALF OF AN EMPLOYER, COMPANY, ORGANIZATION, OR OTHER ENTITY, THEN (I) ALL REFERENCES TO “YOU” HEREIN INCLUDE YOU AND THAT ENTITY, (II) YOU REPRESENT AND WARRANT THAT YOU ARE AN AUTHORIZED REPRESENTATIVE OF THE ENTITY WITH THE AUTHORITY TO BIND THE ENTITY TO THESE TERMS OF SALE, AND (III) YOU AGREE TO THESE TERMS OF SALE ON THE ENTITY’S BEHALF.
THIS IS A LEGAL AGREEMENT. BY PLACING AN ORDER FOR A PRODUCT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SALE.
If you do not accept these Terms of Sale, then you are not authorized to purchase Products. In these Terms of Sale, any words following the term “including” or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.
We reserve the right to change these Terms of Sale at any time, so please review the Terms of Sale each time prior to making a purchase. Every time you order Products, the Terms of Sale in force at that time will apply between you and WHOOP. If you have any questions regarding these Terms of Sale, you can contact WHOOP at support@whoop.com.
Please read these terms carefully.
- INTRODUCTION
Although the Store is accessible worldwide, the Products offered on the Store are not designed and tested for use in all countries. If you choose to access the Store and/or use the Products, you choose to do so on your own initiative and you are solely responsible for complying with applicable local laws in your country. You understand and accept that the Store, the Products, and any related services are not designed for use in all countries and some or all of the features of the Store, Products, and any related services may not work or be appropriate for use in all countries. It is your responsibility to understand and comply with all applicable local, state, federal and foreign laws (including minimum age requirements) regarding the purchase, possession and use of any Product.
2. WHOOP AUTHORIZED PARTNERS
WHOOP may collaborate with certain brands (collectively, the “WHOOP Authorized Partners”) to offer the capability to integrate certain WHOOP Products into certain other products offered by the WHOOP Authorized Partners. We will identify the WHOOP Authorized Partners and any products associated therewith in the Store.
3. ORDER PROCESS
Order Acceptance. Each part of any order that you submit to WHOOP or an Authorized Reseller constitutes an offer to purchase. If you do not receive a message from WHOOP or an Authorized Reseller confirming receipt of your order, please contact our (or the Authorized Reseller’s, as applicable) customer service department at support@whoop.com before re-entering your order. WHOOP’s or an Authorized Reseller’s confirmation of receipt of your order does not constitute WHOOP's or Authorized Reseller’s acceptance of your order. WHOOP or Authorized Reseller (as applicable) is only deemed to have accepted your order once the Product(s) you ordered have been shipped.
Order Issues. Although we strive to accept all valid orders, WHOOP and Authorized Reseller reserve the right to deny any order for any reason, including if: (i) we discover an error in pricing and/or other information about the Product or receive insufficient or erroneous billing, payment, and/or shipping information, (ii) we suspect an order has been placed using stolen payment card information or otherwise appears to be connected to fraud, or (iii) the ordered Product is unavailable due to discontinuance or otherwise. WHOOP and Authorized Reseller may also refuse any order that is connected with a previous payment dispute.
4. AVAILABILITY
All Products offered on the Store and via an Authorized Reseller are subject to availability. We reserve the right to impose quantity limits on any order, to reject all or part of an order, and to discontinue offering certain Products without prior notice. To the extent permitted under applicable laws, we make no representations, warranties, or conditions as to the completeness, accuracy, reliability, validity or timeliness of any listings, content, descriptions or images (including, without limitation, any features and specifications such as weights and sizes) for any Products available through the Store or via an Authorized Reseller. Such information, including pricing, and the availability of any Product are subject to change at any time without notice. We make reasonable efforts to accurately display the attributes of Products, including the applicable colors, however the actual colors you see on the Store will depend on your computer system, and we cannot guarantee that your computer will accurately display such colors. THE INCLUSION OF ANY PRODUCTS ON THE STORE OR BY AN AUTHORIZED RESELLER AT A PARTICULAR TIME DOES NOT IMPLY OR WARRANT THAT THESE PRODUCTS WILL BE AVAILABLE AT ANY TIME.
5. PRICING
Prices are stated in the applicable currency based on your selected location. Your total price charged for Products will include the price of the Products in your order plus any applicable sales tax and shipping charges, less any discounts offered. We reserve the right to change prices at any time, but changes will not affect any order for Products you have already placed prior to the change in price. We do not provide price protection or refunds in the event of a price drop or promotional offering. In the event that a Product is listed at an incorrect price on the Store due to typographical error or error in pricing information received from our suppliers, we reserve the right to refuse or cancel any orders placed for the Product listed at the incorrect price. We reserve the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit or debit card charged. If your credit or debit card has already been charged for the purchase and your order is canceled, we will promptly issue a credit to your credit or debit card account in the amount of the incorrect price paid.
6. PAYMENT
Terms. Any payment terms presented to you in the process of purchasing your Products are deemed part of these Terms of Sale and are incorporated herein by reference. You agree to pay for all orders in accordance with the prices and such billing terms in effect at the time of your order. For all orders, WHOOP calculates and charges sales tax in accordance with applicable laws. You agree to pay all applicable taxes and shipping charges. You must provide WHOOP with a valid credit card or other account information from a valid payment provider accepted by WHOOP (each, a “Payment Provider”) By providing a credit card or other payment method accepted by WHOOP (“Payment Method”), you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our Payment Processor (as defined below)) to immediately charge your payment method for the total amount of your order (including any applicable taxes and other charges). If the payment method you provide cannot be verified, is invalid or is otherwise not acceptable, your order may be suspended or cancelled. You must resolve any payment problem we encounter in order to proceed with your order.
Billing. We may collect payments for the Products from you directly or we may use a third-party payment processor (“Payment Processor”) to bill you through a payment account selected by you at checkout or linked to your Account. We use Stripe, Inc. and its affiliates (“Stripe”) as a third-party service provider for payment services. The processing of payments by a Payment Processor will be subject to the terms, conditions and privacy policies of such Payment Processor in addition to these Terms of Sale. You agree to be bound by Stripe’s Privacy Policy (currently accessible at https://stripe.com/us/privacy) and its Terms of Service (currently accessible at https://stripe.com/ssa) and hereby consent and authorize WHOOP and Stripe and any other Payment Processor to share any information and payment instructions you provide with each other and the provider of your Payment Method to the minimum extent required to complete your transactions. We are not responsible for any errors by a Payment Processor. By choosing to purchase a Product, you agree to pay us, either directly or through a Payment Processor, all amounts for the applicable order in accordance with the applicable payment terms and you authorize us, through a Payment Processor, to charge your Payment Method. You agree to make payment using your selected Payment Method. We reserve the right to correct any errors or mistakes that we or a Payment Processor make even if we or a Payment Processor have already requested or received payment.
Payment Method. Your Payment Provider agreement governs your use of the designated Payment Method, and you must refer to that agreement, not this Agreement, to determine your rights and liabilities.
7. DISCOUNT AND PROMO CODES
We may, in our sole discretion, create discounts and promotional codes that may be redeemed for discounts or other benefits, subject to any additional terms that we establish on a per promotional code basis (“Promo Codes”). Promo Codes may only be used once per person. Only Promo Codes sent to you through official WHOOP communications channels are valid. You agree that Promo Codes: (i) must be used for the intended audience and purpose, and in a lawful manner; (ii) may not be duplicated, sold, or transferred in any manner, or made available to the general public (whether posted to a public forum or otherwise), unless expressly permitted by us; (iii) may be disabled by us at any time for any reason without liability to us; (iv) may only be used pursuant to the specific terms that we establish for such Promo Code; (v) are not redeemable for cash; and (vi) may expire prior to your use.
8. RESALE RESTRICTION
Purchases made on the Store or via an Authorized Reseller are intended for personal use only and are not authorized for resale (aside from the individual sale of Products by a consumer who purchased same for personal use). We reserve the right to refuse or cancel your order if we suspect you are purchasing Products for resale.
9. SHIPPING AND DELIVERY
For purchases made on the Store, our delivery charges and methods are as described on our website. The estimated arrival or delivery date is not a guaranteed delivery date for your order, and you agree that we are not liable for late deliveries. WHOOP uses a third-party service provider for fulfilling orders. By ordering any Product, you acknowledge that neither WHOOP nor Authorized Reseller has any responsibility or liability for any delays that may result from orders handled by such third-party service provider. Refused deliveries will be returned to our warehouse. It may take up to 45 days for the returned items to be identified as refused and processed for a refund.
10. RETURNS FOR REFUND
Our Return Policy for WHOOP Devices that are part of a WHOOP Membership Order. For the return policy for WHOOP Devices ordered and shipped in connection with a WHOOP Membership, see the Terms of Use.
Our Return Policy for other Products. If you purchased apparel and accessories from the Store, WHOOP will accept all unworn returns within thirty (30) days of delivery, unless marked as final sale (i.e., Boxers, WHOOP Your Way). Non-WHOOP Pro members must cover the cost of shipping to return the applicable Product. To initiate a return, please visit support.whoop.com and submit a request. WHOOP reserves the right to reject the return if the product is worn or used. In this case, the member will not receive a refund.
If you purchased apparel and accessories from an Authorized Reseller, you must return the initial purchase to the original point of sale for a refund, subject to the Authorized Reseller’s return policy. WHOOP will not at any time issue a refund for any apparel or accessories purchases made from an Authorized Reseller or any other third-party retailer or any other third-party marketplace.
Exchange Policy. If you purchased apparel and accessories from the Store, members can exchange these unused and unworn purchases for free, subject to the terms and conditions herein. WHOOP accepts all unused and unworn apparel and accessory exchanges within thirty (30) days of delivery, unless marked as final sale (i.e., Boxers, WHOOP Your Way). To initiate a return, please visit support.whoop.com and submit a request. WHOOP reserves the right to reject the return if the product is worn or used. In this case, the member will be charged for the exchanged product.
If you purchased apparel and accessories from an Authorized Reseller, exchanges must be initiated at the original point of sale. All exchanges are subject to the exchange policy of the Authorized Reseller. WHOOP will not at any time issue an exchange for any apparel or accessories purchases made from an Authorized Reseller or any other third-party retailer or any other third-party marketplace.
11. COMPATIBILITY
Products sold through the Store or via an Authorized Reseller and by WHOOP Authorized Partners are the only items compatible with the Products, including but not limited to the WHOOP Device. You agree that lack of compatibility does not constitute a defect giving rise to a claim under our Limited Warranty described in our Terms of Use (“Limited Warranty”). Furthermore, you will be solely responsible for damage resulting to your Product, and any other peripherals, accessories, or apparel used in conjunction with the Product, due to your use of any product or service that is not compatible with the Product.
12. WARRANTIES AND DISCLAIMERS
EXCEPT FOR THE LIMITED WARRANTY, TO THE EXTENT PERMITTED UNDER APPLICABLE LAWS, THE STORE AND ALL PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS OF ANY KIND AND WE HEREBY DISCLAIM ALL IMPLIED WARRANTIES AND CONDITIONS, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES’ RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE.
You use any and all Products at your own discretion and risk. Other than as provided for under the Limited Warranty, to the extent permitted by applicable laws, you will be solely responsible for (and WHOOP disclaims) any and all loss, liability, or damages resulting from your use of a Product, including damage or loss to your Product.
13. LIMITATION OF LIABILITY
TO THE EXTENT PERMITTED BY APPLICABLE LAWS, (A) IN NO EVENT SHALL WE OR AN AUTHORIZED RESELLER OR WHOOP AUTHORIZED PARTNER, NOR ANY SUCH PARTY’S OFFICERS, DIRECTORS, AGENTS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS, OR WHOOP’S LICENSORS (COLLECTIVELY, THE “WHOOP PARTIES”) BE LIABLE FOR ANY INDIRECT DAMAGES (INCLUDING, WITHOUT LIMITATION, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION), EVEN IF WHOOP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (B) IN NO EVENT SHALL THE AGGREGATE AMOUNT THAT THE WHOOP PARTIES ARE LIABLE TO YOU EXCEED THE GREATER OF (I) THE AMOUNT PAID FOR A PARTICULAR PRODUCT, (II) $100, OR (III) THE REMEDY OR PENALTY IMPOSED BY THE STATUTE OR REGULATION UNDER WHICH SUCH CLAIM ARISES, EVEN IF A WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN WHOOP OR AUTHORIZED RESELLER AND YOU.
SOME STATES AND JURISDICTIONS, DO NOT ALLOW EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH STATES OR JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
IF YOU ARE A USER FROM NEW JERSEY, SECTION 12 (WARRANTIES AND DISCLAIMERS) AND SECTION 13 (LIMITATION OF LIABILITY) ARE INTENDED TO BE, AND ARE, ONLY AS BROAD AS IS PERMITTED UNDER THE LAWS OF THE STATE OF NEW JERSEY. IF ANY PROVISION OF THESE SECTIONS IS HELD TO BE INVALID UNDER THE LAWS OF THE STATE OF NEW JERSEY, THE INVALIDITY OF SUCH PROVISION SHALL NOT AFFECT THE VALIDITY OF THE REMAINING PROVISIONS OF THE APPLICABLE SECTIONS.
14. DATA PROTECTION
By placing an order for Products, you agree and understand that WHOOP may store, share, process and use data collected from your order form or phone/fax/email order for the purposes of processing the order. You acknowledge that the processing of any of your personal information is governed by our Privacy Policy. WHOOP works with other companies that help WHOOP provide Products to you, such as freight carriers and credit card processing companies, and you direct WHOOP to share certain information with these companies for this purpose.
15. ELECTRONIC COMMUNICATIONS
You are communicating with WHOOP electronically when you use the Store or send an email to WHOOP. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. When you order through the Store, we collect and store your email address. From that point forward, your email address is used to send you information about our products and services unless you opt-out of such emails.
16. NOTIFICATIONS
WHOOP may provide notifications to you as required by law or for marketing or other purposes via (at its option) email to the email associated with your order. WHOOP is not responsible for any automatic filtering you or your network provider may apply to email notifications. WHOOP recommends that you add @whoop.com URLs to your email address book to help ensure you receive email notifications from WHOOP. For notifications made by e-mail, the date on which the message is sent will be deemed the date on which such notification is transmitted.
17. FORCE MAJEURE
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a contract that is caused by an act or event beyond our reasonable control, including without limitation acts of God, strikes, lock-outs or other industrial action by third parties, civil commotion, riot, terrorist attack, war, fire, explosion, storm, flood, earthquake, epidemic or other natural disaster, failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.
18. SEVERABILITY
If any provision of these Terms of Sale is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Sale, which shall remain in full force and effect.
19. NON-WAIVER
Failure by us to act on or enforce any provision of these Terms of Sale shall not be construed as a waiver of that provision or any other provision in these Terms of Sale. No waiver shall be effective against us unless made in writing, and no such waiver shall be construed as a waiver in any other or subsequent instance.
20. EXPORT CONTROLS
You will not export or re-export, directly or indirectly, the products or services, or any technical information related thereto, to any destination or person prohibited or restricted by U.S. export control laws and regulations and any applicable laws of the country you reside.
21. GOVERNING LAW AND JURISDICTION
These Terms of Sale are governed by the internal substantive laws of the Commonwealth of Massachusetts, without respect to its conflict of law provisions. You expressly agree to submit to the exclusive personal jurisdiction of the state and federal courts sitting in the City of Boston in the Commonwealth of Massachusetts.
22. ADDITIONAL TERMS
Additional terms may apply to certain Products. In the event there is a conflict between these Terms of Sale and any additional terms (including our Terms of Use), the additional terms (including our Terms of Use) will control.

1. INTRODUCCIÓN

2. SOCIOS AUTORIZADOS DE WHOOP
WHOOP puede colaborar con determinadas marcas (colectivamente, los “Socios autorizados de WHOOP”) para ofrecer la posibilidad de integrar determinados Productos WHOOP en otros productos ofrecidos por los Socios autorizados de WHOOP. Identificaremos a los Socios autorizados de WHOOP y cualquier producto asociado con ellos en la Tienda.
3. PROCESO DE PEDIDOS
Aceptación del pedido. Cada parte de cualquier pedido que usted envíe a WHOOP o a un Revendedor autorizado constituye un ofrecimiento de compra. Si no recibe un mensaje de WHOOP o de un Revendedor autorizado confirmando la recepción de su pedido, comuníquese con nuestro departamento de atención al cliente en support@whoop.com (o con el del Revendedor autorizado, según corresponda) antes de volver a ingresar su pedido. La confirmación de recepción de su pedido por parte de WHOOP o de un Revendedor autorizado no constituye la aceptación de su pedido por parte de WHOOP o del Revendedor autorizado. Se considerará que WHOOP o el Revendedor autorizado (según corresponda) han aceptado su pedido solo hasta que se hayan enviado los Productos que usted ordenó. Problemas con los pedidos. Si bien nos esforzamos por aceptar todos los pedidos válidos, WHOOP y los Revendedores autorizados se reservan el derecho de rechazar cualquier pedido por cualquier motivo, incluyendo los siguientes: (i) descubrimos un error en el precio y/u otra información sobre el Producto o recibimos información de facturación, pago y/o envío insuficiente o errónea, (ii) sospechamos que se ha realizado un pedido utilizando una tarjeta de pago robada o parece estar relacionado con un fraude, o (iii) el Producto ordenado no está disponible debido a la discontinuación o por otro motivo. WHOOP y los Revendedores autorizados también pueden rechazar cualquier pedido que esté relacionado con una disputa de pago previa.
4. DISPONIBILIDAD
Todos los productos que se ofrecen en la Tienda y a través de un Revendedor autorizado están sujetos a disponibilidad. Nos reservamos el derecho a imponer límites de cantidad en cualquier pedido, a rechazar la totalidad o parte de uno y a dejar de ofrecer determinados Productos sin previo aviso. 5. PRECIOS
Los precios se indican en la moneda correspondiente según la ubicación seleccionada. El precio total cobrado por los Productos incluirá el precio de los Productos en su pedido, más cualquier impuesto al valor agregado y cargos de envío aplicables, menos cualquier descuento ofrecido. Nos reservamos el derecho de cambiar los precios en cualquier momento, pero los cambios no afectarán ningún pedido de Productos que usted ya haya realizado antes del cambio de precio. No ofrecemos protección de precios ni reembolsos en caso de reducción de precios u ofertas promocionales. En el caso de que un Producto esté listado con un precio incorrecto en la Tienda debido a un error tipográfico o un error en la información de precios recibida de nuestros proveedores, nos reservamos el derecho de rechazar o cancelar cualquier pedido realizado para el Producto listado con el precio incorrecto. 6. PAGO
Términos. Cualquier término de pago que se le presente en el proceso de compra de sus Productos se considera parte de estas Condiciones de venta y se incorpora al presente por referencia. El procesamiento de pagos por medio de un Procesador de pagos estará sujeto a los términos, condiciones y políticas de privacidad de dicho Procesador de pagos, además de estas Condiciones de venta. Usted acepta estar sujeto a la Política de privacidad de Stripe (actualmente disponibles en https://stripe.com/us/privacy) y sus Términos de servicio (actualmente disponibles en https://stripe.com/ssa), y por el presente consiente y autoriza a WHOOP, Stripe y cualquier otro procesador de pagos a compartir entre sí —y con el proveedor de su Método de pago— cualquier información e instrucciones de pago, en la medida mínima requerida para completar sus transacciones. No nos hacemos responsables por ningún error por parte de un Procesador de pagos. 7. DESCUENTOS Y CÓDIGOS PROMOCIONALES
Podemos, a nuestra exclusiva discreción, crear descuentos y códigos promocionales que pueden canjearse por descuentos u otros beneficios, sujetos a cualquier condición adicional que establezcamos para cada código promocional (“Códigos promocionales”). Los Códigos promocionales se pueden usar una sola vez por persona. Solo son válidos los Códigos promocionales enviados a través de los canales de comunicación oficiales de WHOOP. Usted acepta que los Códigos promocionales: (i) deben usarse para la audiencia y el propósito previstos, y de manera legal; (ii) no pueden duplicarse, venderse o transferirse de ninguna manera, ni ponerse a disposición del público en general (ya sea publicarse en un foro público o de otra manera), a menos que lo permitamos expresamente; (iii) pueden ser deshabilitados por nosotros en cualquier momento y por cualquier motivo sin responsabilidad legal de nuestra parte; (iv) pueden usarse solo de conformidad con los términos específicos que establezcamos para dicho Código promocional; (v) no son canjeables por dinero en efectivo; y (vi) pueden vencer antes de su uso.
8. RESTRICCIÓN DE REVENTAS

Nos reservamos el derecho de rechazar o cancelar su pedido si sospechamos que está comprando productos para reventa.
9. ENVÍO Y ENTREGA
Para las compras realizadas en la Tienda, nuestros cargos y métodos de envío se describen en nuestro sitio web. La fecha estimada de llegada o entrega no es una fecha de entrega garantizada para su pedido, y usted acepta que no somos responsables por entregas demoradas. WHOOP utiliza un proveedor de servicios externo para entregar los pedidos. Al ordenar cualquier Producto, usted reconoce que ni WHOOP ni el Revendedor autorizado tienen responsabilidad legal alguna por las demoras que puedan resultar de los pedidos manejados por dicho proveedor de servicios externo. Nuestra Política de devolución para otros productos. 11. COMPATIBILIDAD
Los Productos vendidos a través de la Tienda o a través de un Revendedor autorizado y por Socios autorizados de WHOOP son los únicos artículos compatibles con los Productos, incluyendo, entre otros, el Dispositivo WHOOP. Usted acepta que la incompatibilidad no constituye un defecto que derivará en una reclamación bajo nuestra Garantía limitada descrita en nuestros Términos de uso (“Garantía limitada”). Además, usted será exclusivamente responsable de los daños causados a su Producto —y cualquier otro periférico, accesorio o prenda utilizado junto con el Producto— debido al uso de cualquier producto o servicio incompatible con el Producto.El pago de un cargo único para actualizar o reemplazar su Correa WHOOP no cambiará los términos de su Suscripción a los Servicios.
Si se le proporciona una correa WHOOP mejorada o de sustitución como parte de una oferta de renovación de la suscripción, el nuevo periodo de suscripción comenzará inmediatamente después de la compra y los días restantes de su suscripción actual, si los hubiere, se añadirán a su cuenta.
12. GARANTÍAS Y DESCARGOS DE RESPONSABILIDAD
A EXCEPCIÓN DE LA GARANTÍA LIMITADA, EN LA MEDIDA PERMITIDA POR LAS LEYES APLICABLES, LA TIENDA Y TODOS LOS PRODUCTOS SE PROPORCIONAN “TAL CUAL” Y “SEGÚN DISPONIBILIDAD”, SIN GARANTÍAS O CONDICIONES EXPRESAS O IMPLÍCITAS DE NINGÚN TIPO, Y POR EL PRESENTE RECHAZAMOS TODAS LAS GARANTÍAS Y CONDICIONES IMPLÍCITAS, INCLUYENDO, ENTRE OTRAS, GARANTÍA DE TÍTULO, COMERCIABILIDAD, NO INFRACCIÓN DE DERECHOS DE TERCEROS E IDONEIDAD PARA UN FIN DETERMINADO.
Usted utiliza todos y cada uno de los Productos a su propia discreción y riesgo. Excepto lo dispuesto en la Garantía limitada y en la medida en que lo permitan las leyes aplicables, usted será exclusivamente responsable por (y WHOOP rechaza) cualquier pérdida, responsabilidad o daño resultante de su uso de un Producto, incluyendo el daño o la pérdida de su Producto.
13. LIMITACIÓN DE RESPONSABILIDAD
EN LA MEDIDA PERMITIDA POR LAS LEYES APLICABLES, (A) EN NINGÚN CASO, NOSOTROS O UN REVENDEDOR AUTORIZADO O SOCIO AUTORIZADO DE WHOOP, NI NINGUNO DE LOS FUNCIONARIOS, DIRECTIVOS, AGENTES, EMPLEADOS, REPRESENTANTES O CONTRATISTAS DE DICHAS PARTES, O LICENCIANTES DE WHOOP (COLECTIVAMENTE, LAS “PARTES DE WHOOP”), SEREMOS LEGALMENTE RESPONSABLES POR CUALQUIER DAÑO INDIRECTO (INCLUYENDO, ENTRE OTROS, DAÑOS INCIDENTALES, ESPECIALES O CONSECUENTES, PÉRDIDA DE GANANCIAS O DAÑOS RESULTANTES DE LA PÉRDIDA DE DATOS O INTERRUPCIÓN DE NEGOCIOS), INCLUSO SI WHOOP HA SIDO INFORMADO DE LA POSIBILIDAD DE TALES DAÑOS; Y (B) EN NINGÚN CASO, EL MONTO TOTAL POR EL QUE LAS PARTES DE WHOOP SON RESPONSABLES ANTE USTED EXCEDERÁ EL MAYOR DE (I) EL MONTO PAGADO POR UN PRODUCTO DETERMINADO, (II) $100, O (III) EL REMEDIO O LA SANCIÓN IMPUESTA POR EL ESTATUTO O REGULACIÓN BAJO EL CUAL SURGE DICHA RECLAMACIÓN, INCLUSO SI SE NOS HA INFORMADO DE LA POSIBILIDAD DE TALES DAÑOS.
LAS LIMITACIONES DE DAÑOS ESTABLECIDAS ARRIBA SON ELEMENTOS ESENCIALES DEL FUNDAMENTO DEL ACUERDO ENTRE WHOOP O EL REVENDEDOR AUTORIZADO Y USTED.
ALGUNOS ESTADOS Y JURISDICCIONES NO PERMITEN LA EXCLUSIÓN O LIMITACIÓN DE CIERTOS DAÑOS. SI ESTAS LEYES SE APLICAN A USTED, ES POSIBLE QUE ALGUNAS O TODAS LAS LIMITACIONES O EXCLUSIONES INDICADAS ARRIBA NO SE APLIQUEN EN SU CASO. EN TALES ESTADOS O JURISDICCIONES, NUESTRA RESPONSABILIDAD LEGAL SE LIMITARÁ AL MÁXIMO PERMITIDO POR LA LEY.

14. PROTECCIÓN DE DATOS
Al realizar un pedido de Productos, usted acepta y comprende que WHOOP puede almacenar, compartir, procesar y utilizar datos recopilados de su formulario de pedido o del pedido por teléfono/fax/correo electrónico con el fin de procesar el pedido. Usted reconoce que el procesamiento de cualquiera de sus datos personales se rige por nuestra Política de privacidad. WHOOP trabaja con otras empresas que ayudan a WHOOP a proporcionarle Productos a usted, como transportistas y procesadores de tarjetas de crédito, y usted instruye a WHOOP que comparta cierta información con estas empresas para este propósito.
15. COMUNICACIONES ELECTRÓNICAS
Cuando utiliza la Tienda o envía un correo electrónico a WHOOP, se está comunicando electrónicamente. 17. CASO FORTUITO O FUERZA MAYOR
No seremos responsables por el incumplimiento o el retraso en el cumplimiento de cualquiera de nuestras obligaciones en virtud de un contrato que se deba a un acto o evento fuera de nuestro control razonable, incluyendo, sin limitación, casos fortuitos, huelgas, cierres patronales u otras acciones industriales de terceros, conmoción civil, disturbios, atentados terroristas, guerras, incendios, explosiones, tormentas, inundaciones, terremotos, epidemias u otros desastres naturales, fallas en las redes de telecomunicaciones públicas o privadas o imposibilidad de uso de ferrocarriles, transporte marítimo, aeronaves, transporte motorizado u otros medios de transporte público o privado.
18. DIVISIBILIDAD
Si un tribunal competente declara inválida alguna disposición de estas Condiciones de venta, dicha invalidez no afectará a la validez de las restantes disposiciones, que seguirán en pleno vigor y efecto.
19. NO RENUNCIA
El hecho de que no actuemos o no hagamos cumplir alguna disposición de estas Condiciones de venta, no se interpretará como una renuncia a dicha disposición ni a ninguna otra disposición de estas Condiciones de venta. Ninguna renuncia será efectiva en nuestra contra a menos que se haga por escrito, y tal renuncia no se interpretará como una renuncia en ninguna otra instancia subsecuente.
20. CONTROLES DE EXPORTACIÓN
Usted no exportará o reexportará, de forma directa ni indirecta, los productos o servicios, o cualquier información técnica relacionada con los mismos, a ningún destino o persona que esté prohibido o restringido por las leyes y reglamentos de control de exportaciones de Estados Unidos y cualquier ley aplicable de su país de residencia.
21. LEY APLICABLE Y JURISDICCIÓN
Estas Condiciones de venta se rigen por las leyes internas substantivas del estado de Massachusetts, sin considerar su conflicto de disposiciones legales. Usted acepta expresamente someterse a la jurisdicción personal exclusiva de los tribunales estatales y federales ubicados en la ciudad de Boston, en el estado de Massachusetts.

YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ACCEPT AND AGREE TO THESE TERMS OF SALE AND ARE OF SUFFICIENT LEGAL AGE IN YOUR JURISDICTION OR RESIDENCE TO ENTER INTO THESE TERMS OF SALE AND TO PURCHASE AND USE THE PRODUCTS. “YOU” AND “YOUR” REFER TO THE PERSON PURCHASING A PRODUCT OR IF YOU PURCHASE A PRODUCT ON BEHALF OF AN EMPLOYER, COMPANY, ORGANIZATION, OR OTHER ENTITY, THEN (I) ALL REFERENCES TO “YOU” HEREIN INCLUDE YOU AND THAT ENTITY, (II) YOU REPRESENT AND WARRANT THAT YOU ARE AN AUTHORIZED REPRESENTATIVE OF THE ENTITY WITH THE AUTHORITY TO BIND THE ENTITY TO THESE TERMS OF SALE, AND (III) YOU AGREE TO THESE TERMS OF SALE ON THE ENTITY’S BEHALF.
THIS IS A LEGAL AGREEMENT. BY PLACING AN ORDER FOR A PRODUCT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SALE.
If you do not accept these Terms of Sale, then you are not authorized to purchase Products. In these Terms of Sale, any words following the term “including” or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.
We reserve the right to change these Terms of Sale at any time, so please review the Terms of Sale each time prior to making a purchase. Every time you order Products, the Terms of Sale in force at that time will apply between you and WHOOP. Please read these terms carefully.
1. INTRODUCTION
Although the Store is accessible worldwide, the Products offered on the Store are not designed and tested for use in all countries. If you choose to access the Store and/or use the Products, you choose to do so on your own initiative and you are solely responsible for complying with applicable local laws in your country. You understand and accept that the Store, the Products, and any related services are not designed for use in all countries and some or all of the features of the Store, Products, and any related services may not work or be appropriate for use in all countries. It is your responsibility to understand and comply with all applicable local, state, federal and foreign laws (including minimum age requirements) regarding the purchase, possession and use of any Product.
2. WHOOP AUTHORIZED PARTNERS
WHOOP may collaborate with certain brands (collectively, the “WHOOP Authorized Partners”) to offer the capability to integrate certain WHOOP Products into certain other products offered by the WHOOP Authorized Partners. We will identify the WHOOP Authorized Partners and any products associated therewith in the Store.
3. ORDER PROCESS
Order Acceptance. Each part of any order that you submit to WHOOP or an Authorized Reseller constitutes an offer to purchase. If you do not receive a message from WHOOP or an Authorized Reseller confirming receipt of your order, please contact our (or the Authorized Reseller’s, as applicable) customer service department at support@whoop.com before re-entering your order. WHOOP’s or an Authorized Reseller’s confirmation of receipt of your order does not constitute WHOOP's or Authorized Reseller’s acceptance of your order. WHOOP or Authorized Reseller (as applicable) is only deemed to have accepted your order once the Product(s) you ordered have been shipped.
Order Issues. Although we strive to accept all valid orders, WHOOP and Authorized Reseller reserve the right to deny any order for any reason, including if: (i) we discover an error in pricing and/or other information about the Product or receive insufficient or erroneous billing, payment, and/or shipping information, (ii) we suspect an order has been placed using stolen payment card information or otherwise appears to be connected to fraud, or (iii) the ordered Product is unavailable due to discontinuance or otherwise. WHOOP and Authorized Reseller may also refuse any order that is connected with a previous payment dispute.
4. AVAILABILITY
All Products offered on the Store and via an Authorized Reseller are subject to availability. We reserve the right to impose quantity limits on any order, to reject all or part of an order, and to discontinue offering certain Products without prior notice. To the extent permitted under applicable laws, we make no representations, warranties, or conditions as to the completeness, accuracy, reliability, validity or timeliness of any listings, content, descriptions or images (including, without limitation, any features and specifications such as weights and sizes) for any Products available through the Store or via an Authorized Reseller. Such information, including pricing, and the availability of any Product are subject to change at any time without notice. We make reasonable efforts to accurately display the attributes of Products, including the applicable colors, however the actual colors you see on the Store will depend on your computer system, and we cannot guarantee that your computer will accurately display such colors. THE INCLUSION OF ANY PRODUCTS ON THE STORE OR BY AN AUTHORIZED RESELLER AT A PARTICULAR TIME DOES NOT IMPLY OR WARRANT THAT THESE PRODUCTS WILL BE AVAILABLE AT ANY TIME.
5. PRICING
Prices are stated in the applicable currency based on your selected location. Your total price charged for Products will include the price of the Products in your order plus any applicable sales tax and shipping charges, less any discounts offered. We reserve the right to change prices at any time, but changes will not affect any order for Products you have already placed prior to the change in price. We do not provide price protection or refunds in the event of a price drop or promotional offering. In the event that a Product is listed at an incorrect price on the Store due to typographical error or error in pricing information received from our suppliers, we reserve the right to refuse or cancel any orders placed for the Product listed at the incorrect price. We reserve the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit or debit card charged. If your credit or debit card has already been charged for the purchase and your order is canceled, we will promptly issue a credit to your credit or debit card account in the amount of the incorrect price paid.
6. PAYMENT
Terms. Any payment terms presented to you in the process of purchasing your Products are deemed part of these Terms of Sale and are incorporated herein by reference. You agree to pay for all orders in accordance with the prices and such billing terms in effect at the time of your order. For all orders, WHOOP calculates and charges sales tax in accordance with applicable laws. You agree to pay all applicable taxes and shipping charges. You must provide WHOOP with a valid credit card or other account information from a valid payment provider accepted by WHOOP (each, a “Payment Provider”) By providing a credit card or other payment method accepted by WHOOP (“Payment Method”), you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our Payment Processor (as defined below)) to immediately charge your payment method for the total amount of your order (including any applicable taxes and other charges). If the payment method you provide cannot be verified, is invalid or is otherwise not acceptable, your order may be suspended or cancelled. You must resolve any payment problem we encounter in order to proceed with your order.
Billing. We may collect payments for the Products from you directly or we may use a third-party payment processor (“Payment Processor”) to bill you through a payment account selected by you at checkout or linked to your Account. We use Stripe, Inc. and its affiliates (“Stripe”) as a third-party service provider for payment services. The processing of payments by a Payment Processor will be subject to the terms, conditions and privacy policies of such Payment Processor in addition to these Terms of Sale. You agree to be bound by Stripe’s Privacy Policy (currently accessible at https://stripe.com/us/privacy) and its Terms of Service (currently accessible at https://stripe.com/ssa) and hereby consent and authorize WHOOP and Stripe and any other Payment Processor to share any information and payment instructions you provide with each other and the provider of your Payment Method to the minimum extent required to complete your transactions. We are not responsible for any errors by a Payment Processor. By choosing to purchase a Product, you agree to pay us, either directly or through a Payment Processor, all amounts for the applicable order in accordance with the applicable payment terms and you authorize us, through a Payment Processor, to charge your Payment Method. You agree to make payment using your selected Payment Method. We reserve the right to correct any errors or mistakes that we or a Payment Processor make even if we or a Payment Processor have already requested or received payment.
Payment Method. Your Payment Provider agreement governs your use of the designated Payment Method, and you must refer to that agreement, not this Agreement, to determine your rights and liabilities.
7. DISCOUNT AND PROMO CODES
We may, in our sole discretion, create discounts and promotional codes that may be redeemed for discounts or other benefits, subject to any additional terms that we establish on a per promotional code basis (“Promo Codes”). Promo Codes may only be used once per person. Only Promo Codes sent to you through official WHOOP communications channels are valid. You agree that Promo Codes: (i) must be used for the intended audience and purpose, and in a lawful manner; (ii) may not be duplicated, sold, or transferred in any manner, or made available to the general public (whether posted to a public forum or otherwise), unless expressly permitted by us; (iii) may be disabled by us at any time for any reason without liability to us; (iv) may only be used pursuant to the specific terms that we establish for such Promo Code; (v) are not redeemable for cash; and (vi) may expire prior to your use.
8. RESALE RESTRICTION
Purchases made on the Store or via an Authorized Reseller are intended for personal use only and are not authorized for resale (aside from the individual sale of Products by a consumer who purchased same for personal use). We reserve the right to refuse or cancel your order if we suspect you are purchasing Products for resale.
9. SHIPPING AND DELIVERY
For purchases made on the Store, our delivery charges and methods are as described on our website. The estimated arrival or delivery date is not a guaranteed delivery date for your order, and you agree that we are not liable for late deliveries. WHOOP uses a third-party service provider for fulfilling orders. By ordering any Product, you acknowledge that neither WHOOP nor Authorized Reseller has any responsibility or liability for any delays that may result from orders handled by such third-party service provider. Refused deliveries will be returned to our warehouse. It may take up to 45 days for the returned items to be identified as refused and processed for a refund.
10. RETURNS FOR REFUND
Our Return Policy for WHOOP Devices that are part of a WHOOP Membership Order. For the return policy for WHOOP Devices ordered and shipped in connection with a WHOOP Membership, see the Terms of Use.
Our Return Policy for other Products. If you purchased apparel and accessories from the Store, WHOOP will accept all unworn returns within thirty (30) days of delivery, unless marked as final sale (i.e., Boxers, WHOOP Your Way). Non-WHOOP Pro members must cover the cost of shipping to return the applicable Product. To initiate a return, please visit support.whoop.com and submit a request. WHOOP reserves the right to reject the return if the product is worn or used. In this case, the member will not receive a refund.
If you purchased apparel and accessories from an Authorized Reseller, you must return the initial purchase to the original point of sale for a refund, subject to the Authorized Reseller’s return policy. WHOOP will not at any time issue a refund for any apparel or accessories purchases made from an Authorized Reseller or any other third-party retailer or any other third-party marketplace.
Exchange Policy. If you purchased apparel and accessories from the Store, members can exchange these unused and unworn purchases for free, subject to the terms and conditions herein. WHOOP accepts all unused and unworn apparel and accessory exchanges within thirty (30) days of delivery, unless marked as final sale (i.e., Boxers, WHOOP Your Way). To initiate a return, please visit support.whoop.com and submit a request. WHOOP reserves the right to reject the return if the product is worn or used. In this case, the member will be charged for the exchanged product.
If you purchased apparel and accessories from an Authorized Reseller, exchanges must be initiated at the original point of sale. All exchanges are subject to the exchange policy of the Authorized Reseller. WHOOP will not at any time issue an exchange for any apparel or accessories purchases made from an Authorized Reseller or any other third-party retailer or any other third-party marketplace.
11. COMPATIBILITY
Products sold through the Store or via an Authorized Reseller and by WHOOP Authorized Partners are the only items compatible with the Products, including but not limited to the WHOOP Device. You agree that lack of compatibility does not constitute a defect giving rise to a claim under our Limited Warranty described in our Terms of Use (“Limited Warranty”). Furthermore, you will be solely responsible for damage resulting to your Product, and any other peripherals, accessories, or apparel used in conjunction with the Product, due to your use of any product or service that is not compatible with the Product.
12. WARRANTIES AND DISCLAIMERS
EXCEPT FOR THE LIMITED WARRANTY, TO THE EXTENT PERMITTED UNDER APPLICABLE LAWS, THE STORE AND ALL PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS OF ANY KIND AND WE HEREBY DISCLAIM ALL IMPLIED WARRANTIES AND CONDITIONS, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES’ RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE.
You use any and all Products at your own discretion and risk. Other than as provided for under the Limited Warranty, to the extent permitted by applicable laws, you will be solely responsible for (and WHOOP disclaims) any and all loss, liability, or damages resulting from your use of a Product, including damage or loss to your Product.
13. LIMITATION OF LIABILITY
TO THE EXTENT PERMITTED BY APPLICABLE LAWS, (A) IN NO EVENT SHALL WE OR AN AUTHORIZED RESELLER OR WHOOP AUTHORIZED PARTNER, NOR ANY SUCH PARTY’S OFFICERS, DIRECTORS, AGENTS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS, OR WHOOP’S LICENSORS (COLLECTIVELY, THE “WHOOP PARTIES”) BE LIABLE FOR ANY INDIRECT DAMAGES (INCLUDING, WITHOUT LIMITATION, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION), EVEN IF WHOOP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (B) IN NO EVENT SHALL THE AGGREGATE AMOUNT THAT THE WHOOP PARTIES ARE LIABLE TO YOU EXCEED THE GREATER OF (I) THE AMOUNT PAID FOR A PARTICULAR PRODUCT, (II) $100, OR (III) THE REMEDY OR PENALTY IMPOSED BY THE STATUTE OR REGULATION UNDER WHICH SUCH CLAIM ARISES, EVEN IF A WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN WHOOP OR AUTHORIZED RESELLER AND YOU.
SOME STATES AND JURISDICTIONS, DO NOT ALLOW EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH STATES OR JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
IF YOU ARE A USER FROM NEW JERSEY, SECTION 12 (WARRANTIES AND DISCLAIMERS) AND SECTION 13 (LIMITATION OF LIABILITY) ARE INTENDED TO BE, AND ARE, ONLY AS BROAD AS IS PERMITTED UNDER THE LAWS OF THE STATE OF NEW JERSEY. IF ANY PROVISION OF THESE SECTIONS IS HELD TO BE INVALID UNDER THE LAWS OF THE STATE OF NEW JERSEY, THE INVALIDITY OF SUCH PROVISION SHALL NOT AFFECT THE VALIDITY OF THE REMAINING PROVISIONS OF THE APPLICABLE SECTIONS.
14. DATA PROTECTION
By placing an order for Products, you agree and understand that WHOOP may store, share, process and use data collected from your order form or phone/fax/email order for the purposes of processing the order. You acknowledge that the processing of any of your personal information is governed by our Privacy Policy. WHOOP works with other companies that help WHOOP provide Products to you, such as freight carriers and credit card processing companies, and you direct WHOOP to share certain information with these companies for this purpose.
15. ELECTRONIC COMMUNICATIONS
You are communicating with WHOOP electronically when you use the Store or send an email to WHOOP. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. When you order through the Store, we collect and store your email address. From that point forward, your email address is used to send you information about our products and services unless you opt-out of such emails.
16. NOTIFICATIONS
WHOOP may provide notifications to you as required by law or for marketing or other purposes via (at its option) email to the email associated with your order. WHOOP is not responsible for any automatic filtering you or your network provider may apply to email notifications. WHOOP recommends that you add @whoop.com URLs to your email address book to help ensure you receive email notifications from WHOOP. For notifications made by e-mail, the date on which the message is sent will be deemed the date on which such notification is transmitted.
17. FORCE MAJEURE
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a contract that is caused by an act or event beyond our reasonable control, including without limitation acts of God, strikes, lock-outs or other industrial action by third parties, civil commotion, riot, terrorist attack, war, fire, explosion, storm, flood, earthquake, epidemic or other natural disaster, failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.
18. SEVERABILITY
If any provision of these Terms of Sale is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Sale, which shall remain in full force and effect.
19. NON-WAIVER
Failure by us to act on or enforce any provision of these Terms of Sale shall not be construed as a waiver of that provision or any other provision in these Terms of Sale. No waiver shall be effective against us unless made in writing, and no such waiver shall be construed as a waiver in any other or subsequent instance.
20. EXPORT CONTROLS
You will not export or re-export, directly or indirectly, the products or services, or any technical information related thereto, to any destination or person prohibited or restricted by U.S. export control laws and regulations and any applicable laws of the country you reside.
21. GOVERNING LAW AND JURISDICTION
These Terms of Sale are governed by the internal substantive laws of the Commonwealth of Massachusetts, without respect to its conflict of law provisions. You expressly agree to submit to the exclusive personal jurisdiction of the state and federal courts sitting in the City of Boston in the Commonwealth of Massachusetts.
22. ADDITIONAL TERMS
Additional terms may apply to certain Products. In the event there is a conflict between these Terms of Sale and any additional terms (including our Terms of Use), the additional terms (including our Terms of Use) will control.
